Transition Services Agreement

This Transition Services Agreement ('Agreement') is made and entered into as of {{effective_date}} ('Effective Date'), by and between {{provider_company_name}}, a company duly incorporated under the laws of {{provider_jurisdiction}}, with its principal place of business located at {{provider_address}} ('Service Provider'), and {{recipient_company_name}}, a company duly incorporated under the laws of {{recipient_jurisdiction}}, with its principal place of business located at {{recipient_address}} ('Service Recipient').

WHEREAS, Service Provider and Service Recipient have recently completed a transaction involving the {{type_of_transaction}} of certain assets/shares on {{transaction_close_date}}.

WHEREAS, in connection with the aforementioned transaction, Service Recipient requires certain transitional services from Service Provider to ensure a smooth and orderly transition of operations.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Services

1.1. The Service Provider agrees to provide the Service Recipient with the services described in Schedule A (the 'Services'). The Services shall be provided for the period specified in Schedule A (the 'Service Period').

1.2. The Service Provider shall perform the Services in a professional and workmanlike manner, in accordance with the standards of care and quality generally observed in the industry for similar services.

1.3. The Service Recipient acknowledges and agrees that the Services are temporary in nature and are intended to assist the Service Recipient during a transition period, not to provide ongoing, long-term support.

2. Service Period and Termination

2.1. This Agreement shall commence on the Effective Date and shall continue until the expiration of the last Service Period for any Service as set forth in Schedule A, unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either party may terminate this Agreement or any individual Service upon thirty (30) days' written notice to the other party, provided such termination does not breach any other agreements between the parties.

2.3. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period_days}} days after receiving written notice of such breach.

3. Fees and Payment

3.1. In consideration for the Services provided by Service Provider, Service Recipient shall pay Service Provider the fees as set forth in Schedule B ('Fees').

3.2. All invoices shall be submitted {{payment_frequency}} and shall be due and payable within {{payment_terms_days}} days of receipt.

3.3. Any overdue payments shall accrue interest at a rate of {{interest_rate_percent}}% per annum, or the maximum rate permitted by law, whichever is lower.

4. Relationship of the Parties

4.1. The Service Provider shall perform the Services as an independent contractor, and nothing contained in this Agreement shall be construed to create an employment, partnership, joint venture, or agency relationship between the parties.

4.2. Neither party shall have the authority to bind the other party or to incur any obligations on its behalf.

5. Confidentiality

5.1. Both parties acknowledge that during the course of this Agreement, they may have access to confidential and proprietary information of the other party. Each party agrees to keep such information confidential and not to disclose it to any third party without the prior written consent of the other party.

5.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

6. Limitation of Liability

6.1. To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement.

6.2. The total aggregate liability of the Service Provider under this Agreement for any and all claims shall not exceed the total fees paid by the Service Recipient for the Services giving rise to such claim during the {{liability_period}} immediately preceding the event giving rise to the claim.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

7.3. The place of arbitration shall be {{arbitration_location}} and the language of the arbitration shall be English.

8. Entire Agreement

This Agreement, together with its Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
