Preamble and Purpose

WHEREAS, the Buyer has a recurring need for {{description_of_goods_or_services}};

WHEREAS, the Seller is in the business of providing {{description_of_goods_or_services}} and is capable of meeting the Buyer's requirements;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows: This BPA establishes the terms and conditions that will govern all future purchases of the specified goods or services between the Buyer and Seller for the duration of this agreement, simplifying the ordering process and ensuring consistent pricing and quality.

Term of Agreement

This BPA shall commence on {{start_date}} and remain in effect until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement. This Agreement may be renewed for {{renewal_period}} upon mutual written consent of both parties.

Pricing and Payment Terms

**Inspection:** The Buyer reserves the right to inspect all goods/services upon delivery/completion. Goods/services not meeting specifications may be rejected and returned at the Seller's expense.

Warranties and Guarantees

The Seller warrants that all goods supplied will be new, free from defects in material and workmanship, and conform to all specifications. Services provided will be performed in a professional and workmanlike manner. This warranty shall remain in effect for a period of {{warranty_period}} from the date of acceptance.

Termination

Either party may terminate this BPA for cause upon {{notice_period_days}} days' written notice to the other party for a material breach of this Agreement, provided such breach is not cured within the notice period. Governing Law and Dispute Resolution

Entire Agreement
