AGREEMENT FOR ACCOUNTING SERVICES

This Agreement is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_company_name}}, a company duly incorporated and existing under the laws of [Jurisdiction], with its principal place of business at {{client_company_address}} (hereinafter referred to as "the Client"),

AND

{{accountant_firm_name}}, a firm of accountants duly registered and operating under the laws of [Jurisdiction], with its principal place of business at {{accountant_firm_address}} (hereinafter referred to as "the Accountant").

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 The Client hereby engages the Accountant to provide accounting and related financial services as outlined in Schedule A attached hereto and forming an integral part of this Agreement.

1.2 The Accountant accepts the engagement and agrees to provide the services with due care, skill, and diligence, in accordance with applicable professional standards and ethical guidelines.

1.3 Any additional services requested by the Client outside the scope defined in Schedule A shall be subject to a separate agreement and additional fees.

2. DURATION AND TERMINATION

2.1 This Agreement shall commence on {{start_date}} and shall continue until terminated by either party in accordance with the provisions herein.

2.2 Either party may terminate this Agreement by providing {{notice_period}} (e.g., 30 days) written notice to the other party.

2.3 This Agreement may be terminated immediately by either party in the event of a material breach of this Agreement by the other party, provided that written notice specifying the breach is given and the breaching party fails to remedy the breach within {{remedy_period}} days of receiving such notice.

3. FEES AND PAYMENT

3.1 The Client shall pay the Accountant fees for the services rendered as set out in Schedule B attached hereto. All fees are exclusive of Value Added Tax (VAT) or any other applicable taxes, which shall be borne by the Client.

3.2 Invoices shall be submitted by the Accountant on a {{billing_frequency}} basis (e.g., monthly, quarterly) and are payable within {{payment_terms}} days from the date of the invoice.

3.3 Interest at the rate of {{interest_rate}}% per annum shall be charged on all overdue amounts.

4. CONFIDENTIALITY

4.1 Both parties agree to keep all confidential information, including but not limited to financial records, business strategies, and client data, strictly confidential during and after the term of this Agreement.

4.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, unless required by law.

5. INDEMNIFICATION

5.1 The Client agrees to indemnify and hold harmless the Accountant from any claims, damages, liabilities, and expenses arising from the Client's misrepresentation of facts or willful misconduct.

5.2 The Accountant shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided under this Agreement.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

6.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the parties.

6.3 If the dispute cannot be settled through negotiation within {{negotiation_period}} days, the parties agree to refer the dispute to mediation in accordance with the rules of the [Mediation Body].

6.4 If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of the [Arbitration Body].

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
