Agreement with Provider of Network Services
1. Parties
This Agreement is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:
1.1. {{Client_Company_Name}}, a company incorporated under the laws of {{Country}}, with its registered office at {{Client_Company_Address}} (hereinafter referred to as "Client").
1.2. {{Provider_Company_Name}}, a company incorporated under the laws of {{Country}}, with its registered office at {{Provider_Company_Address}} (hereinafter referred to as "Provider").
2. Scope of Services
2.1. The Provider agrees to furnish network services to the Client as detailed in Schedule A (hereinafter referred to as "Services"). These Services shall include, but not be limited to:
a. Network design, installation, and configuration.
b. Network monitoring and maintenance.
c. Technical support and troubleshooting.
d. Cybersecurity measures and data protection.
e. Hardware and software procurement (as agreed upon).
2.2. Any additional services requested by the Client and agreed upon by the Provider shall be subject to a separate written agreement or amendment to this Agreement.
3. Term and Termination
3.1. This Agreement shall commence on {{Effective_Date}} and shall continue for a period of {{Term_Length_Years}} year(s) (hereinafter referred to as the "Initial Term"), unless terminated earlier in accordance with the provisions of this Agreement.
3.2. This Agreement may be renewed for successive periods upon mutual written agreement of both Parties.
3.3. Either Party may terminate this Agreement without cause by giving {{Notice_Period_Days}} days' written notice to the other Party.
3.4. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any of its obligations under this Agreement and fails to remedy such breach within {{Cure_Period_Days}} days of receiving written notice thereof.
4. Fees and Payment
4.1. The Client shall pay the Provider for the Services rendered in accordance with the fee schedule outlined in Schedule B.
4.2. All invoices shall be submitted monthly/quarterly (delete as applicable) and are payable within {{Payment_Due_Days}} days of the invoice date.
4.3. Payments shall be made in {{Currency}}.
4.4. Late payments may incur interest at a rate of {{Interest_Rate_Percentage}}% per annum.
5. Confidentiality
5.1. Both Parties agree to keep confidential all non-public information disclosed by one Party to the other, whether orally or in writing, that is designated as confidential or that, by the nature of the circumstances surrounding disclosure, ought to be treated as confidential. This includes, but is not limited to, business plans, financial information, client data, and technical data.
5.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{Confidentiality_Period_Years}} years.
6. Warranties and Disclaimers
6.1. The Provider warrants that the Services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards.
6.2. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND THE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
7.1. To the maximum extent permitted by applicable law, neither Party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content.
7.2. The Provider's total aggregate liability arising out of or in connection with this Agreement shall not exceed the total fees paid by the Client to the Provider under this Agreement during the {{Liability_Period_Months}} months immediately preceding the event giving rise to the claim.
8. Force Majeure
8.1. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of {{Country}}.
9.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the {{Arbitration_Rules_Body}} rules, which rules are deemed to be incorporated by reference into this clause.
9.3. The seat of the arbitration shall be {{Arbitration_City}}, {{Country}}. The language of the arbitration shall be English.
10. Entire Agreement
10.1. This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
