AMENDMENT TO SALES CONTRACT

This Amendment No. {{amendment_number}} (the "Amendment") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date")

PARTIES

BETWEEN:

{{seller_company_name}}, a company duly incorporated and registered under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter referred to as "the Seller");

AND

{{buyer_company_name}}, a company duly incorporated and registered under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as "the Buyer").

(The Seller and the Buyer hereinafter collectively referred to as “the Parties” and individually as “Party”)

RECITALS

WHEREAS, the Parties entered into a Sales Contract dated {{original_contract_date}} (the "Original Contract") for the sale and purchase of {{goods_or_services_description}}.

WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Contract.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties agree as follows:

AMENDMENTS

The Original Contract is hereby amended as follows:

1. Clause {{clause_number_1}} of the Original Contract shall be deleted in its entirety and replaced with the following:

"{{new_clause_text_1}}"

2. The following new clause, Clause {{new_clause_number}}, shall be inserted immediately after Clause {{preceding_clause_number}} of the Original Contract:

"{{new_clause_text_2}}"

3. The price of the goods/services specified in Clause {{price_clause_number}} shall be amended from {{original_price}} to {{new_price}}.

4. The delivery date specified in Clause {{delivery_date_clause_number}} shall be amended from {{original_delivery_date}} to {{new_delivery_date}}.

EFFECT OF AMENDMENT

Save as expressly amended by this Amendment, all other terms and conditions of the Original Contract shall remain in full force and effect.

This Amendment shall be read and construed as an integral part of the Original Contract.

GOVERNING LAW AND JURISDICTION

This Amendment shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

The Parties hereby irrevocably submit to the non-exclusive jurisdiction of the courts of {{jurisdiction_for_disputes}} for the resolution of any dispute arising out of or in connection with this Amendment.

ENTIRE AGREEMENT

This Amendment, together with the Original Contract, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

EXECUTION IN COUNTERPARTS

This Amendment may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
