AMENDMENT TO SALES CONTRACT

This Amendment (hereinafter referred to as the “Amendment”) is made and entered into on this {{day}} day of {{month}}, {{year}} (the “Effective Date”),

BETWEEN:

{{Seller_Company_Name}}, a company duly incorporated and existing under the laws of {{Seller_Jurisdiction}}, with its principal place of business at {{Seller_Address}} (hereinafter referred to as the “Seller”);

AND

{{Buyer_Company_Name}}, a company duly incorporated and existing under the laws of {{Buyer_Jurisdiction}}, with its principal place of business at {{Buyer_Address}} (hereinafter referred to as the “Buyer”).

The Seller and the Buyer are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

RECITALS

WHEREAS, the Parties previously entered into a Sales Contract dated {{original_contract_date}} (the “Original Contract”) for the sale and purchase of {{goods_or_services_description}};

WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Contract as set forth herein.

AMENDMENTS

The Parties hereby agree to amend the Original Contract as follows:

1. Clause {{clause_number_1}} of the Original Contract shall be deleted in its entirety and replaced with the following: “{{new_clause_text_1}}”.

2. A new Clause {{new_clause_number}} shall be added immediately after Clause {{preceding_clause_number}} as follows: “{{added_clause_text}}”.

3. Clause {{clause_number_2}} of the Original Contract shall be modified by amending {{specific_part_of_clause}} to read: “{{modified_text}}”.

4. [Optional: Add more specific amendments as needed, e.g., changes to price, delivery schedules, quantities, payment terms.]

EFFECT OF AMENDMENT

Except as expressly amended by this Amendment, all other terms and conditions of the Original Contract shall remain in full force and effect.

GOVERNING LAW AND JURISDICTION

This Amendment shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Amendment, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of {{arbitration_institution}}.

ENTIRE AGREEMENT

This Amendment, together with the Original Contract, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

COUNTERPARTS

This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
