AMENDMENT TO SALES CONTRACT

This Amendment No. {{amendment_number}} (the "Amendment") is made and entered into on this {{date_of_amendment}} day of {{month_of_amendment}}, {{year_of_amendment}}.

BETWEEN:

{{seller_company_name}}, a company duly incorporated and existing under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter referred to as "the Seller");

AND

{{buyer_company_name}}, a company duly incorporated and existing under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as "the Buyer").

(The Seller and the Buyer hereinafter collectively referred to as "the Parties" and individually as "a Party")

RECITALS

WHEREAS, the Parties entered into a Sales Contract dated {{original_contract_date}} (the "Original Contract") for the sale and purchase of {{goods_or_services_description}}.

WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Contract, as set forth in this Amendment.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

AMENDMENTS

1. Clause {{clause_number_1}} of the Original Contract shall be amended to read as follows:

2. Clause {{clause_number_2}} of the Original Contract is hereby deleted in its entirety and replaced with the following:

3. The following new Clause {{new_clause_number}} shall be inserted immediately after Clause {{preceding_clause_number}} of the Original Contract:

4. Schedule {{schedule_number}} of the Original Contract is hereby amended as follows: {{amendment_to_schedule}}

EFFECTIVE DATE OF AMENDMENT

This Amendment shall be effective from {{effective_date_of_amendment}} (the "Effective Date").

CONTINUED VALIDITY OF ORIGINAL CONTRACT

Except as expressly amended by this Amendment, all other terms, conditions, and provisions of the Original Contract shall remain in full force and effect and are hereby ratified and confirmed by the Parties.

GOVERNING LAW AND JURISDICTION

This Amendment and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

The Parties irrevocably agree that the courts of {{jurisdiction_for_disputes}} shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Amendment or its subject matter or formation (including non-contractual disputes or claims).

ENTIRE AGREEMENT

This Amendment, together with the Original Contract, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto.

COUNTERPARTS

This Amendment may be executed in any number of counterparts, each of which shall constitute an original, but all of which when taken together shall constitute one and the same instrument.
