Bill of Sale: Immovable Property

This Bill of Sale (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

SELLER: {{seller_name}}, of {{seller_address}}, {{seller_id_type}}: {{seller_id_number}} (hereinafter referred to as 'the Seller').

BUYER: {{buyer_name}}, of {{buyer_address}}, {{buyer_id_type}}: {{buyer_id_number}} (hereinafter referred to as 'the Buyer').

Recitals

WHEREAS, the Seller is the lawful owner of the immovable property described below (hereinafter referred to as 'the Property');

WHEREAS, the Seller desires to sell the Property to the Buyer, and the Buyer desires to purchase the Property from the Seller, subject to the terms and conditions set forth in this Agreement.

Consideration

In consideration of the sum of {{currency}} {{purchase_price}} ({{purchase_price_words}}) paid by the Buyer to the Seller, the receipt and sufficiency of which is hereby acknowledged by the Seller, the Seller hereby sells, conveys, transfers, and delivers to the Buyer all of the Seller's right, title, and interest in and to the Property.

Warranties and Representations

The Seller hereby warrants and represents to the Buyer that:

a) The Seller is the sole and lawful owner of the Property and has the full right, power, and authority to sell and convey the Property.

b) The Property is free and clear of all liens, encumbrances, and adverse claims, except as may be expressly disclosed herein or in the title deed.

c) There are no outstanding governmental orders or notices affecting the Property.

d) The Seller has disclosed all known material defects in the Property to the Buyer.

The Buyer acknowledges that they have inspected the Property or have had the opportunity to do so and accept the Property in its 'as is' condition.

Transfer of Possession

Possession of the Property shall be transferred to the Buyer on {{possession_date}}.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

General Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
