BILL OF SALE IMMOVABLE PROPERTY
THIS BILL OF SALE is made and entered into on this {{day}} day of {{month}}, {{year}},
BETWEEN:
{{seller_name}}, of {{seller_address}} (hereinafter referred to as "the Seller")
AND
{{buyer_name}}, of {{buyer_address}} (hereinafter referred to as "the Buyer").
RECITALS
WHEREAS, the Seller is the sole and absolute owner of the immovable property more fully described in Schedule A hereto (hereinafter referred to as "the Property").
WHEREAS, the Seller has agreed to sell and the Buyer has agreed to purchase the Property for the consideration and upon the terms and conditions hereinafter appearing.
CONSIDERATION
In consideration of the sum of {{amount_in_words}} ({{amount_in_figures}}) which the Buyer has paid to the Seller (the receipt whereof the Seller doth hereby acknowledge), the Seller hereby sells, conveys, and transfers unto the Buyer, all rights, title, and interest in and to the Property.
DESCRIPTION OF THE PROPERTY
The Property hereby sold and transferred is more particularly described in Schedule A annexed hereto and forming an integral part of this Bill of Sale.
DELIVERY OF POSSESSION
The Seller hereby delivers vacant and peaceful possession of the Property to the Buyer on the date of execution of this Bill of Sale.
Alternatively: The Seller shall deliver vacant and peaceful possession of the Property to the Buyer on or before {{possession_date}}.
COVENANTS AND WARRANTIES
The Seller hereby covenants with the Buyer that:
a) The Seller is the lawful owner of the Property and has full right, power, and authority to sell and transfer the same.
b) The Property is free from all encumbrances, charges, liens, mortgages, and claims of whatsoever nature.
c) The Buyer shall quietly possess and enjoy the Property without any interruption or disturbance from the Seller or any person claiming through or under the Seller.
d) The Seller shall indemnify and keep indemnified the Buyer against all losses, costs, damages, and expenses that the Buyer may suffer or incur by reason of any defect in the Seller's title to the Property, or by reason of any encumbrance or claim on the Property existing prior to the date of this Bill of Sale.
GOVERNING LAW AND JURISDICTION
This Bill of Sale shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Bill of Sale shall be subject to the exclusive jurisdiction of the courts of {{country}}.
ENTIRE AGREEMENT
This Bill of Sale constitutes the entire agreement between the parties with respect to the sale and purchase of the Property and supersedes all prior discussions, negotiations, and agreements, whether oral or written, between the parties relating thereto.
