BILL OF SALE WITH ENCUMBRANCES

4. SELLER'S WARRANTIES AND REPRESENTATIONS

The Seller warrants and represents that:

(a) The Seller is the lawful owner of the Asset and has the full right and authority to sell and transfer the Asset, subject to the declared Encumbrances.

(b) The Seller has disclosed all known Encumbrances on the Asset.

(c) The Asset is sold in an "as-is, where-is" condition, with all faults, and without any representation or warranty as to its fitness for any particular purpose, merchantability, or condition, except as expressly stated herein.

5. INDEMNIFICATION

The Buyer agrees to indemnify and hold harmless the Seller from and against any and all claims, demands, liabilities, costs, and expenses (including legal fees) arising from or related to the Encumbrances, except for any claims directly resulting from the Seller's breach of the warranties and representations made in this Agreement.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7. ENTIRE AGREEMENT
