Blanket Purchase Agreement No. {{agreement_number}}

This Blanket Purchase Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} (the 'Effective Date'), by and between:

{{buyer_company_name}}, a company duly incorporated and existing under the laws of {{buyer_jurisdiction}}, with its principal place of business located at {{buyer_address}} (hereinafter referred to as 'Buyer'); and

{{supplier_company_name}}, a company duly incorporated and existing under the laws of {{supplier_jurisdiction}}, with its principal place of business located at {{supplier_address}} (hereinafter referred to as 'Supplier').

Buyer and Supplier are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

Recitals

WHEREAS, Buyer desires to procure certain goods/services as specified herein on an ongoing basis;

WHEREAS, Supplier is in the business of providing such goods/services and is willing to supply them to Buyer under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Scope of Agreement and Goods/Services

This Agreement establishes the general terms and conditions for the purchase by Buyer from Supplier of the following goods/services:

This Agreement does not constitute a commitment to purchase a minimum quantity of goods/services. Individual orders will be placed by Buyer through purchase orders consistent with the terms of this Agreement.

Pricing

The pricing for the goods/services supplied under this Agreement shall be as set forth in Schedule A (attached hereto and forming part of this Agreement) or as otherwise mutually agreed upon in writing for specific purchase orders.

Prices shall remain firm for the duration of this Agreement, unless otherwise agreed by the Parties in writing. Any proposed price adjustments by the Supplier must be submitted in writing to the Buyer {{notice_period_days}} days prior to the effective date of the proposed change.

Order Placement and Delivery

Buyer shall place orders using its standard Purchase Order (PO) form. Each PO shall reference this Blanket Purchase Agreement.

Supplier shall deliver the goods/services to the location(s) specified in the PO by the delivery date(s) specified therein. Delivery terms shall be {{delivery_terms}}.

Time is of the essence with respect to delivery obligations.

Payment Terms

Invoices shall be submitted by Supplier to Buyer upon delivery/completion of goods/services or as otherwise agreed in the respective PO.

Payment terms shall be {{payment_terms}} days from the date of a valid invoice, unless otherwise agreed in writing.

Buyer shall notify Supplier of any invoice discrepancies within {{invoice_discrepancy_notice_days}} days of receipt.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue for a period of {{agreement_term_years}} year(s), unless terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by giving {{termination_notice_days}} days' written notice to the other Party.

Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_institution}}.

Confidentiality

The Parties agree to keep confidential all non-public information obtained from each other in connection with this Agreement. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.
