EQUIPMENT MAINTENANCE AGREEMENT

This Equipment Maintenance Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

Collectively, the Service Provider and the Client shall be referred to as “the Parties” and individually as “Party”.

1. Purpose of Agreement

The purpose of this Agreement is to define the terms and conditions under which the Service Provider will provide maintenance and repair services for the equipment specified herein, owned by the Client.

2. Equipment Covered

The following equipment is covered under this Agreement:

3. Scope of Services

The Service Provider agrees to provide the following maintenance services to the Client:

**3.1 Scheduled Maintenance:** Regular, preventative maintenance services as per the schedule outlined in Appendix A.

**3.2 Unscheduled Maintenance/Repairs:** Emergency repair services in response to equipment breakdown or malfunction.

**3.3 Diagnostic Services:** Troubleshooting and identification of equipment issues.

**3.4 Parts Replacement:** Replacement of faulty or worn-out parts with genuine or approved equivalent parts. Costs for parts may be charged separately as per clause 5.3.

**3.5 Reporting:** Provision of service reports detailing work performed, parts used, and equipment status.

4. Service Schedule and Response Times

**4.1 Scheduled Maintenance:** To be conducted {{frequency_of_scheduled_maintenance}} as per the schedule attached as Appendix A.

**4.2 Unscheduled Maintenance:** The Service Provider commits to an emergency response time of {{emergency_response_time}} hours/days from the time of notification by the Client.

**4.3 Working Hours:** All services shall be performed during standard business hours (e.g., Monday to Friday, 8:00 AM to 5:00 PM) unless otherwise agreed upon in writing for emergency services.

5. Fees and Payment Terms

**5.1 Maintenance Fees:** The Client shall pay the Service Provider a recurring maintenance fee of {{maintenance_fee_amount}} {{currency}} per {{payment_frequency}} (e.g., month, quarter, year).

**6.3 Operating Environment:** Ensure the equipment is operated within the manufacturer's specified environmental conditions.

**6.4 Safety:** Adhere to all safety regulations and provide a safe working environment for the Service Provider's personnel.

7. Term and Termination

**7.1 Term:** This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term_duration}} (e.g., one year), automatically renewing for successive periods of {{renewal_period}} unless terminated by either Party.

9. Governing Law and Dispute Resolution

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
