Equipment Loan Agreement
This Equipment Loan Agreement (hereinafter 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
**Lender:** {{lender_company_name}}, a company duly incorporated and existing under the laws of [African Country, e.g., Republic of Kenya], with its principal place of business located at {{lender_address}} (hereinafter 'Lender'), and
**Borrower:** {{borrower_company_name}}, a company/individual residing at {{borrower_address}} (hereinafter 'Borrower').
1. Loaned Equipment
The Lender agrees to lend to the Borrower the following equipment (hereinafter 'Equipment'):
a. **Description of Equipment:** {{equipment_description}}
b. **Model Number:** {{equipment_model_number}}
c. **Serial Number:** {{equipment_serial_number}}
d. **Asset Value:** {{currency}} {{equipment_asset_value}}
e. **Condition:** The Equipment is provided in {{equipment_condition}} condition and has been inspected by the Borrower.
2. Purpose of Loan
The Borrower shall use the Equipment solely for the purpose of {{purpose_of_loan}} and for no other purpose without the prior written consent of the Lender.
3. Loan Period
The loan of the Equipment shall commence on {{start_date}} and shall terminate on {{end_date}} (hereinafter 'Loan Period'). Upon expiry of the Loan Period, the Borrower shall return the Equipment to the Lender in accordance with the terms of this Agreement.
4. Location of Equipment
During the Loan Period, the Equipment shall be kept at {{equipment_location}} and shall not be removed from this location without the prior written consent of the Lender.
5. Borrower's Responsibilities
The Borrower agrees to:
a. Take good care of the Equipment and use it in a careful and proper manner.
b. Keep the Equipment in good repair and operating condition, normal wear and tear excepted.
c. Notify the Lender immediately of any damage to or malfunction of the Equipment.
d. Be responsible for any loss or damage to the Equipment, save for normal wear and tear, from the effective date until its return.
e. Indemnify and hold harmless the Lender from any claims, damages, liabilities, costs, and expenses arising from the Borrower's use of the Equipment.
6. Insurance
The Borrower shall, at its own expense, obtain and maintain during the Loan Period, insurance coverage for the full replacement value of the Equipment against all risks of loss or damage. The Lender shall be named as an additional insured on such policy. A copy of the insurance certificate shall be provided to the Lender prior to the commencement of the Loan Period.
7. Return of Equipment
Upon the termination of this Agreement, the Borrower shall return the Equipment to the Lender at {{return_location}} in the same condition as received, reasonable wear and tear excepted. The Borrower shall bear all costs associated with the return of the Equipment.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [African Country, e.g., Republic of Ghana].
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, both written and oral, between the parties.
