1. Introduction

This Affiliate Program Agreement (the "Agreement") is made and entered into as of {{date}} by and between {{company_name}}, a company organized and existing under the laws of {{country}}, with its principal place of business at {{company_address}} ("Company"), and the affiliate identified in the affiliate registration form ("Affiliate").

This Agreement sets forth the terms and conditions for Affiliate's participation in Company's affiliate program (the "Program"). By participating in the Program, Affiliate agrees to be bound by the terms and conditions of this Agreement.

2. Enrollment in the Program

To become an Affiliate, individuals or entities must complete the affiliate registration form on the Company's website and agree to the terms of this Agreement. Company reserves the right to approve or reject any affiliate application in its sole discretion. Upon approval, Affiliate will receive a unique affiliate ID and access to marketing materials and tracking tools.

3. Affiliate Responsibilities

Affiliate agrees to:

a. Promote Company's products and services in a ethical and lawful manner.

b. Use only approved marketing materials provided by Company.

c. Not engage in spamming, unsolicited commercial email, or any other form of unethical or illegal marketing practices.

d. Not make any false or misleading representations about Company's products or services.

e. Comply with all applicable laws and regulations, including but not limited to consumer protection laws and data privacy laws (e.g., POPIA in South Africa, NDPA in Nigeria).

4. Commission Structure and Payments

Company will pay Affiliate a commission on eligible sales generated through Affiliate's unique tracking link. The commission rate is {{commission_rate}}% of the net sale price of products/services sold. Commissions will be calculated on a {{payment_frequency}} basis and paid out within {{payment_terms}} days after the end of the commission period.

5. Term and Termination

This Agreement will commence on the date of Affiliate's approval into the Program and will continue until terminated by either party.

Upon termination, Affiliate will immediately cease all use of Company's marketing materials and remove all links to Company's website. Any outstanding commissions earned prior to the termination date will be paid out in the next payment cycle, subject to the minimum payout threshold.

6. Limitation of Liability

Company will not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with this Agreement or the Program, including but not limited to loss of profits, loss of data, or interruption of business.

Company's aggregate liability under this Agreement will not exceed the total commissions paid to Affiliate during the {{months}} months preceding the event giving rise to the liability.

7. Governing Law and Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of {{country}}.

The parties agree to first attempt to resolve any dispute or claim arising out of or relating to this Agreement through mediation administered by {{mediation_body}} before resorting to litigation.

8. Amendments

Company reserves the right to amend or modify this Agreement at any time by posting the revised terms on its website. Affiliate's continued participation in the Program after such modifications will constitute acceptance of the revised terms.

It is the Affiliate's responsibility to regularly review this Agreement for any changes.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral.

No waiver of any provision of this Agreement will be effective unless in writing and signed by both parties.
