AGENCY AGREEMENT: CORPORATE DUTIES

This Agency Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date")

BETWEEN:

1. {{company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company");

AND

2. {{agency_name}}, a company/entity duly incorporated and registered under the laws of {{country}}, with its principal place of business at {{agency_address}} (hereinafter referred to as "the Agency").

collectively referred to as “the Parties” and individually as “Party”.

WHEREAS, the Company desires to engage the Agency to perform certain corporate duties as described herein, and the Agency agrees to undertake such duties in accordance with the terms and conditions set forth in this Agreement.

1. APPOINTMENT AND SCOPE OF DUTIES

1.1 The Company hereby appoints the Agency, and the Agency hereby accepts the appointment, to perform the corporate duties as specified in Schedule A attached hereto.

1.2 The scope of duties shall include, but not be limited to, {{list_of_duties_e.g._regulatory_filings,_corporate_secretarial_services,_compliance_monitoring}}. The Agency shall perform these duties with due care, skill, and diligence, and in a manner consistent with industry best practices and all applicable laws and regulations.

2. DURATION AND TERMINATION

2.1 This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_duration}} (e.g., one year), renewable automatically for successive periods of {{renewal_period}} unless terminated earlier in accordance with the provisions of this Agreement.

2.2 Either Party may terminate this Agreement by providing written notice of {{notice_period_days}} days to the other Party.

2.3 This Agreement may be terminated with immediate effect by either Party if the other Party commits a material breach of its obligations hereunder and fails to remedy such breach within {{cure_period_days}} days of receiving written notice requiring it to do so.

3. AGENCY'S UNDERTAKINGS AND OBLIGATIONS

3.1 The Agency undertakes to comply with all relevant laws, regulations, and corporate governance standards applicable in {{jurisdiction}}.

3.2 The Agency shall maintain strict confidentiality regarding all information obtained during the course of performing its duties, as outlined in the Confidentiality Clause below.

3.3 The Agency shall provide regular reports on the performance of its duties to the Company, as agreed upon by the Parties, typically on a {{reporting_frequency}} basis.

3.4 The Agency shall ensure that all its personnel involved in the performance of duties under this Agreement are adequately qualified and experienced.

4. COMPANY'S OBLIGATIONS

4.1 The Company shall provide the Agency with all necessary information, documents, and access to personnel as reasonably required for the Agency to perform its duties.

4.2 The Company shall promptly respond to all reasonable requests for information or approvals from the Agency.

4.3 The Company shall pay the Agency the agreed-upon fees as stipulated in Clause 6 of this Agreement.

5. CONFIDENTIALITY

5.1 Both Parties agree to keep confidential all non-public information obtained from the other Party in connection with this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

5.2 Neither Party shall disclose any confidential information to any third party without the prior written consent of the other Party, except as required by law.

6. FEES AND PAYMENT

6.1 In consideration for the services rendered by the Agency, the Company shall pay the Agency a fee of {{fee_amount}} ({{currency}}) per {{payment_period_e.g._month,_quarter,_annum}}.

6.2 Invoices shall be submitted by the Agency on a {{invoicing_frequency}} basis and shall be payable by the Company within {{payment_terms_days}} days of receipt.

7. INDEMNITY

7.1 The Agency agrees to indemnify and hold harmless the Company from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from any breach of its obligations under this Agreement or from any negligent or wrongful act or omission by the Agency or its employees or agents.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) for the time being in force, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be {{city}}, {{country}}. The language of the arbitration shall be English.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties. Any amendment to this Agreement shall only be valid if in writing and signed by duly authorized representatives of both Parties.
