Agreement Overview

This Agreement Between Carrier and Shipper ('Agreement') is entered into on {{agreement_date}} ('Effective Date'), by and between {{carrier_company_name}}, with its principal place of business at {{carrier_address}} ('Carrier'), and {{shipper_company_name}}, with its principal place of business at {{shipper_address}} ('Shipper').

The Carrier agrees to transport goods for the Shipper in accordance with the terms and conditions set forth in this Agreement.

Scope of Services

The Carrier shall provide transportation services as requested by the Shipper, including but not limited to the pickup, transport, and delivery of goods ('Shipments') to designated destinations. Specific details of each Shipment, including cargo type, quantity, origin, destination, and delivery schedule, will be provided in individual shipping orders or bills of lading, which shall be incorporated into this Agreement by reference.

Carrier Responsibilities

The Carrier shall:

a. Exercise due diligence and care in the handling and transportation of Shipments.

b. Comply with all applicable laws, regulations, and industry standards related to transportation.

c. Provide and maintain appropriately licensed and insured vehicles and qualified personnel.

d. Notify the Shipper promptly of any delays, damages, or other issues affecting a Shipment.

e. Deliver Shipments to the agreed-upon destination within the agreed-upon timeframe, barring unforeseen circumstances.

Shipper Responsibilities

The Shipper shall:

a. Provide accurate and complete information regarding Shipments, including proper labeling, packaging, and necessary documentation.

b. Ensure that Shipments are adequately packaged and prepared for transportation in accordance with industry standards.

c. Disclose any hazardous materials or special handling requirements for Shipments.

d. Be responsible for loading and unloading Shipments at the origin and destination, respectively, unless otherwise agreed upon in writing.

e. Pay all agreed-upon charges in a timely manner.

Payment Terms

The Shipper agrees to pay the Carrier for services rendered in accordance with the rates and payment schedule mutually agreed upon in writing, as outlined in the attached Rate Schedule (Appendix A) or individual shipping orders.

Payment for services shall be due within {{payment_days}} days from the date of invoice. Invoices will be issued by the Carrier upon successful delivery of the Shipment. Payments shall be made in {{currency}} to the Carrier's designated account.

Late payments may be subject to a late fee of {{late_fee_percentage}}% per month or the highest rate permitted by law, whichever is less.

Liability and Insurance

The Carrier shall not be liable for loss or damage arising from acts of God, public enemy, acts of public authority, acts of the Shipper, or the inherent vice or defect of the goods.

Indemnification

The Shipper agrees to indemnify and hold harmless the Carrier from any and all claims, damages, losses, and expenses, including reasonable attorney's fees, arising out of any breach by the Shipper of its obligations under this Agreement or any negligence or wrongful acts of the Shipper, its agents, or employees.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Insert Applicable Country/Region, e.g., 'the Republic of South Africa']. Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations.
