AGREEMENT BETWEEN CARRIER AND SHIPPER

This Agreement is made and entered into as of {{date}} (the 'Effective Date') by and between:

{{shipper_company_name}}, a company duly incorporated and existing under the laws of {{shipper_country}}, with its principal place of business at {{shipper_address}} (hereinafter referred to as the 'Shipper');

AND

{{carrier_company_name}}, a company duly incorporated and existing under the laws of {{carrier_country}}, with its principal place of business at {{carrier_address}} (hereinafter referred to as the 'Carrier').

Collectively referred to as the 'Parties' and individually as a 'Party'.

1. SERVICES

The Carrier hereby agrees to provide transportation and logistics services to the Shipper for the movement of goods as specified in individual shipping orders issued by the Shipper from time to time ('Shipping Orders').

The Carrier shall transport the goods safely, efficiently, and in accordance with all applicable laws, regulations, and industry standards.

2. SHIPPING ORDERS

Each shipment shall be initiated by a Shipping Order provided by the Shipper to the Carrier. Each Shipping Order shall include, but not be limited to, the following information:

a. Origin and destination addresses.

b. Description of goods, including quantity, weight, and dimensions.

c. Special handling instructions, if any.

d. Requested pick-up and delivery dates/times.

e. Declared value of goods for insurance purposes.

f. Applicable customs declarations for cross-border shipments, if any.

3. RATES AND PAYMENT

The rates for the services provided by the Carrier shall be as agreed upon in writing between the Parties for each Shipping Order. All rates are quoted in {{currency}}.

The Shipper shall pay the Carrier within {{payment_terms}} days of the invoice date. Late payments may incur interest at a rate of {{interest_rate}}% per annum.

4. RESPONSIBILITIES OF THE CARRIER

The Carrier shall be responsible for:

a. Providing suitable and well-maintained vehicles and equipment for the transportation of goods.

b. Employing qualified and licensed personnel.

c. Complying with all applicable traffic, safety, and environmental regulations.

d. Ensuring proper loading, securing, and unloading of goods.

e. Notifying the Shipper promptly of any delays, damages, or unforeseen circumstances affecting the shipment.

5. RESPONSIBILITIES OF THE SHIPPER

The Shipper shall be responsible for:

a. Accurately describing the goods and providing all necessary documentation for shipment, including customs declarations for international transit.

b. Properly packaging and labelling goods for safe transportation.

c. Ensuring accessibility to pick-up and delivery locations.

d. Promptly paying all agreed-upon charges.

6. INSURANCE AND LIABILITY

The Carrier shall maintain adequate cargo insurance coverage as required by law, with a minimum coverage amount of {{insurance_coverage_amount_currency}} per incident. A certificate of insurance can be provided upon request.

The Carrier's liability for loss or damage to goods shall be limited to {{liability_limit_currency}} per kilogram or its equivalent in {{local_currency_name}}, unless a higher declared value is specifically agreed upon in writing PRIOR to shipment and additional insurance obtained.

The Carrier shall not be liable for loss or damage resulting from acts of God, war, acts of public authorities, inherent vice of the goods, or acts or omissions of the Shipper.

7. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and remain in force for a period of {{term_duration}} years, renewable by mutual written agreement, or until terminated by either Party.

Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country_or_region}}.

Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably, it shall be referred to mediation in {{mediation_city}}.

Failing resolution through mediation, the dispute shall be submitted to arbitration in {{arbitration_city}} in accordance with the rules of {{arbitration_body}}.
