AGREEMENT BETWEEN OWNER AND CONTRACTOR

This Agreement is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{owner_name}} of {{owner_address}} (hereinafter referred to as “the Owner”)

AND

{{contractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{contractor_address}}, represented by {{contractor_representative_name}} (hereinafter referred to as “the Contractor”).

Collectively referred to as “the Parties”.

1. SCOPE OF WORK

The Contractor shall diligently and in a professional manner execute the works as described in Appendix A (hereinafter referred to as “the Works”). The Works shall include, but not be limited to, {{description_of_works}}.

Any variations or additional works requested by the Owner must be agreed upon in writing by both Parties and may result in an adjustment of the Contract Price and/or completion date.

2. CONTRACT PRICE

The total contract price for the Works shall be {{currency}} {{amount}} ({{amount_in_words}}), exclusive of Value Added Tax (VAT) unless otherwise stated. VAT shall be charged at the prevailing rate of {{vat_rate}}% where applicable.

The Contract Price shall be subject to adjustments only as provided for in this Agreement.

3. PAYMENT TERMS

Payment shall be made by the Owner to the Contractor in stages as follows:

(a) An upfront payment of {{upfront_percentage}}% ({{upfront_amount}}) upon signing of this Agreement.

(b) Progress payments of {{progress_percentage}}% ({{progress_amount}}) upon completion of {{milestone_1}} and {{milestone_2}}.

(c) A final payment of {{final_percentage}}% ({{final_amount}}) upon practical completion of the Works and submission of all relevant documentation.

All payments shall be made within {{payment_days}} days of receipt of a valid and approved invoice from the Contractor.

4. COMMENCEMENT AND COMPLETION

The Contractor shall commence the Works on {{start_date}} and shall achieve practical completion by {{completion_date}}.

Time is of the essence in this Agreement. Any delays encountered must be promptly communicated by the Contractor to the Owner, along with reasons and proposed revised timelines.

5. WARRANTIES AND GUARANTEES

The Contractor warrants that all materials supplied shall be new and of good quality, and that the Works shall be executed in a good and workmanlike manner, free from defects, and in accordance with all applicable standards and specifications.

The Contractor provides a guarantee period of {{guarantee_period}} from the date of practical completion, during which any defects arising from faulty workmanship or materials shall be rectified at the Contractor's expense.

6. INDEMNIFICATION AND INSURANCE

The Contractor shall indemnify and hold harmless the Owner from any and all claims, damages, losses, and expenses, including attorney’s fees, arising out of the performance of the Works, except to the extent caused by the negligence or willful misconduct of the Owner.

The Contractor shall maintain adequate public liability and all-risk insurance coverage for the duration of the Works, with a reputable insurer, for a sum not less than {{insurance_amount}}.

7. TERMINATION

Either Party may terminate this Agreement by giving written notice to the other Party if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{notice_days}} days of receiving written notice thereof.

Upon termination, the Parties' rights and obligations shall be determined in accordance with the provisions of this Agreement relating to termination.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute, controversy, or claim arising out of or relating to this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, in accordance with the rules of the {{arbitration_body}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties relating to the subject matter hereof.
