PARTIES TO THIS AGREEMENT

This Consent to Sublease Agreement (hereinafter 'the Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**LANDLORD:** {{landlord_name_legal}}, with its principal place of business at {{landlord_address}} (hereinafter 'the Landlord').

**TENANT:** {{tenant_name_legal}}, with its principal place of business at {{tenant_address}} (hereinafter 'the Tenant').

**SUBTENANT:** {{subtenant_name_legal}}, with its principal place of business at {{subtenant_address}} (hereinafter 'the Subtenant').

REFERENCE TO ORIGINAL LEASE AGREEMENT

The Landlord and Tenant entered into a Lease Agreement dated {{original_lease_date}} (hereinafter 'the Original Lease Agreement') for the premises located at {{property_address}} (hereinafter 'the Premises'). A copy of the Original Lease Agreement is attached hereto as Annexure A and forms an integral part of this Agreement.

TENANT'S REQUEST TO SUBLEASE

The Tenant has requested, and the Landlord hereby agrees, to permit the subleasing of the Premises, or a portion thereof, to the Subtenant, subject to the terms and conditions set forth in this Agreement.

TERMS AND CONDITIONS OF SUBLEASE

1. **Sublease Term:** The sublease shall commence on {{sublease_start_date}} and terminate on {{sublease_end_date}}.

2. **Rent:** The Subtenant shall pay rent in the amount of {{sublease_rent_amount}} per {{rent_period}} to {{payment_recipient}} on or before the {{payment_day}} of each month.

3. **Security Deposit:** The Subtenant shall pay a security deposit of {{sublease_security_deposit_amount}} to {{security_deposit_recipient}} on or before {{security_deposit_due_date}}. This deposit shall be held in accordance with legal requirements and the terms of the Original Lease Agreement.

4. **Original Lease Agreement Adherence:** The Subtenant acknowledges and agrees to be bound by all the terms, conditions, covenants, and obligations contained in the Original Lease Agreement, except for the payment of rent directly to the Landlord, which shall remain the primary responsibility of the Tenant.

5. **Tenant's Continuing Liability:** Notwithstanding this consent, the Tenant shall remain fully and primarily liable to the Landlord for the performance of all terms, covenants, and conditions of the Original Lease Agreement, including but not limited to the payment of rent, maintenance of the Premises, and compliance with all rules and regulations.

6. **Indemnification:** The Tenant hereby indemnifies and holds harmless the Landlord from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with the sublease, the Subtenant's use of the Premises, or any breach of this Consent or the Original Lease Agreement by the Subtenant.

7. **Insurance:** The Subtenant shall obtain and maintain during the term of the sublease, at its own expense, comprehensive general liability insurance with coverage of not less than {{insurance_coverage_amount}}, naming the Landlord as an additional insured. Proof of such insurance must be provided to the Landlord prior to the commencement of the sublease.

8. **Alterations:** No alterations, additions, or improvements shall be made to the Premises by the Subtenant without the prior written consent of both the Landlord and the Tenant.

9. **Use of Premises:** The Premises shall be used by the Subtenant solely for {{subtenant_intended_use_of_premises}} and for no other purpose without the prior written consent of the Landlord.

10. **Assignment and Further Subletting:** The Subtenant shall not further assign this sublease or sublet any portion of the Premises without the prior written consent of both the Landlord and the Tenant.

CANCELLATION OR TERMINATION

In the event of any breach by the Tenant or Subtenant of any term or condition of this Agreement or the Original Lease Agreement, the Landlord shall have the right to revoke this consent and/or terminate the Original Lease Agreement and/or the Sublease Agreement, subject to applicable law and the terms of the Original Lease Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

ENTIRE AGREEMENT

This Agreement, together with the Original Lease Agreement, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
