SALES AGREEMENT

This Sales Agreement ('Agreement') is entered into on {{date}} by and between:

1. GOODS AND SERVICES

1.1. The Seller agrees to sell, and the Buyer agrees to purchase, the following goods/services (hereinafter referred to as 'Goods' or 'Services'):

1.2. The specifications of the Goods/Services are detailed in Schedule A attached hereto and incorporated by reference.

2. PURCHASE PRICE AND PAYMENT

3. DELIVERY AND ACCEPTANCE

3.1. The Seller shall deliver the Goods/Services to {{delivery_address}} on or before {{delivery_date}}.

3.2. Buyer shall have {{inspection_period}} days from the date of delivery to inspect the Goods/Services. Any defects or non-conformities must be reported to the Seller in writing within this period. Failure to do so shall constitute acceptance.

4. WARRANTIES

4.1. The Seller warrants that the Goods/Services are free from defects in material and workmanship for a period of {{warranty_period}} from the date of delivery.

4.2. This warranty does not cover damage caused by misuse, accident, or unauthorized modifications by the Buyer.

5. LIMITATION OF LIABILITY

5.1. In no event shall the Seller be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, arising out of or in connection with this Agreement.

5.2. The Seller's total liability under this Agreement shall not exceed the total purchase price paid by the Buyer for the Goods/Services.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

6.2. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If no resolution is reached, the parties agree to submit to the exclusive jurisdiction of the courts of {{dispute_resolution_jurisdiction}}.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
