Sales Agreement

This Sales Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

3. Price and Payment Terms

4. Delivery and Acceptance

5. Warranties

6. Limitation of Liability

In no event shall the Seller be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from the sale or use of the goods/services.

7. Governing Law and Dispute Resolution

**7.1. Governing Law:** This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

8. Force Majeure

Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

10. Amendments

Any amendment or modification to this Agreement must be in writing and signed by both Parties.
