Recitals
WHEREAS, the Shipper desires to engage the Carrier for the transportation of certain goods, and the Carrier is willing to provide such transportation services under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:
Services to be Provided
The Carrier agrees to transport the goods described in Scehdule A (attached hereto and incorporated by reference) from the origin specified by the Shipper to the destination specified by the Shipper.
The Carrier shall use all reasonable care and skill in the performance of the transportation services and shall comply with all applicable laws and regulations.
Rates and Payment
The Shipper agrees to pay the Carrier the rates as set out in Schedule B (attached hereto and incorporated by reference).

Late payments may be subject to an interest charge of {{late_payment_interest_rate}}% per annum.
Responsibilities of the Shipper
The Shipper shall ensure that all goods are properly packaged, labeled, and accompanied by all necessary documentation (e.g., invoices, packing lists, customs declarations).
The Shipper shall provide accurate and complete information regarding the nature of the goods, their value, and any special handling requirements.
The Shipper shall be responsible for obtaining all necessary permits and licenses for the transportation of the goods.
Responsibilities of the Carrier
The Carrier shall transport the goods safely and efficiently, exercising due care and diligence.
The Carrier shall maintain adequate insurance cover for the goods during transit, as specified in Schedule C.
The Carrier shall notify the Shipper of any delays or unforeseen circumstances that may affect the delivery of the goods.
Liability for Loss or Damage
The Carrier shall be liable for loss or damage to the goods during transit, except where such loss or damage arises from:
a) Acts of God, force majeure, or other unforeseen circumstances beyond the Carrier’s control.
b) Inherent vice or defect of the goods.
c) Insufficient or improper packaging by the Shipper.
d) Acts or omissions of the Shipper or its agents.
The Carrier's liability for loss or damage shall be limited to {{liability_limit_amount}} {{currency}} per {{unit_of_measure}} or the actual value of the goods, whichever is lower, unless otherwise agreed in writing.
Claims for loss or damage must be submitted in writing to the Carrier within {{claim_submission_period}} days of discovery.
Insurance
The Carrier shall maintain cargo liability insurance with coverage limits as specified in Schedule C. The Shipper may request proof of such insurance.
The Shipper is responsible for arranging any additional insurance coverage they deem necessary beyond the Carrier’s standard liability.
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, natural disasters, or government restrictions.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
Any dispute arising out of or in connection with this Agreement shall be resolved through negotiation in good faith.
If the dispute cannot be resolved through negotiation, the parties agree to consider mediation or, failing that, submit to the exclusive jurisdiction of the courts of {{jurisdiction_country}}.
Entire Agreement
This Agreement, including all attached Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
