This Agreement is made and entered into on {{agreement_date}} (the “Effective Date”) by and between:

{{company_name}}, a company duly incorporated under the laws of {{company_jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as “the Client”); and

{{provider_company_name}}, a company duly incorporated under the laws of {{provider_jurisdiction}}, with its principal place of business at {{provider_address}} (hereinafter referred to as “the Provider”).

Recitals

WHEREAS, the Client desires to obtain network services as more fully described herein; and

WHEREAS, the Provider is qualified and capable of providing such network services to the Client; and

WHEREAS, both parties desire to enter into an agreement setting forth the terms and conditions under which such services shall be provided.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Services

The Provider agrees to provide the following network services (hereinafter referred to as “the Services”) to the Client:

Further details of the Services, including service levels and deliverables, are set out in Schedule A, attached hereto and forming an integral part of this Agreement.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue for a period of {{agreement_term_duration}} (the “Initial Term”), unless terminated earlier in accordance with the provisions of this Agreement. The Agreement may be renewed for successive {{renewal_term_duration}} periods upon mutual written agreement of both parties.

Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party for any material breach of this Agreement, provided such breach is not remedied within {{cure_period}} days of receipt of such notice.

Fees and Payment

The Client agrees to pay the Provider an amount of {{currency}} {{total_fee_amount}} ({{total_fee_words}}) for the Services, payable as follows:

1. An initial payment of {{currency}} {{initial_payment_amount}} upon signing of this Agreement.

All payments shall be made via {{payment_method}} to the Provider’s nominated bank account. Any additional services requested by the Client outside the scope of this Agreement will be charged at the Provider’s standard rates, as agreed upon in writing by both parties.

Confidentiality

Both parties agree to treat all information disclosed during the term of this Agreement as confidential, including but not limited to business strategies, technical data, customer lists, and financial information. Neither party shall disclose such confidential information to any third party without the prior written consent of the other party. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_duration}}.

Limitation of Liability

The Provider’s total liability to the Client for any and all claims arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to the Provider under this Agreement during the {{liability_period}} period immediately preceding the event giving rise to the claim.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.
