AMENDING AGREEMENT

This Amending Agreement ('Agreement') is made and effective as of {{effective_date}} (the 'Effective Date')

BETWEEN:

{{party_A_name}}, a company duly incorporated and registered under the laws of {{party_A_jurisdiction}}, with its registered office located at {{party_A_address}} (hereinafter referred to as 'Party A');

AND

{{party_B_name}}, a company duly incorporated and registered under the laws of {{party_B_jurisdiction}}, with its registered office located at {{party_B_address}} (hereinafter referred to as 'Party B').

Party A and Party B are hereinafter collectively referred to as 'the Parties' and individually as 'Party'.

RECITALS

WHEREAS, the Parties previously entered into a {{original_agreement_name}} dated {{original_agreement_date}} (the 'Original Agreement');

AND WHEREAS, the Parties now mutually desire to amend certain terms and conditions of the Original Agreement as set forth herein;

AMENDMENTS

The Parties hereby agree to amend the Original Agreement as follows:

1. Clause {{clause_number_1}} of the Original Agreement is hereby deleted in its entirety and replaced with the following:

'{{new_clause_content_1}}'

2. Clause {{clause_number_2}} of the Original Agreement is hereby amended by deleting the words '{{old_phrase_2}}' and inserting in their place the words '{{new_phrase_2}}'.

3. A new Clause {{new_clause_number_3}} is hereby inserted immediately after Clause {{preceding_clause_3}} of the Original Agreement, to read as follows:

4. Any other amendments as agreed upon by the Parties shall be detailed as follows: {{other_amendments}}

EFFECT OF AMENDMENT

Except as expressly amended by this Agreement, all other terms and conditions of the Original Agreement shall remain in full force and effect and are hereby ratified and confirmed by the Parties.

The Original Agreement, as amended by this Agreement, shall be read and construed as one single agreement.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of {{dispute_resolution_jurisdiction}}.

COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to such subject matter.
