AMENDING AGREEMENT

THIS AMENDING AGREEMENT ('Agreement') is made and entered into this {{day}} day of {{month}}, {{year}}.

BETWEEN:

{{Lender_Company_Name}} (Registration Number: {{Lender_Registration_Number}}), a company duly incorporated and registered under the laws of [Country, e.g., South Africa], with its registered office at {{Lender_Address}} (hereinafter referred to as 'the 'Lender');

AND

{{Borrower_Company_Name}} (Registration Number: {{Borrower_Registration_Number}}), a company duly incorporated and registered under the laws of [Country, e.g., South Africa], with its registered office at {{Borrower_Address}} (hereinafter referred to as 'the 'Borrower');

(The Lender and the Borrower hereinafter collectively referred to as 'the Parties' and individually as a 'Party').

RECITALS

WHEREAS, the Parties previously entered into a Loan Agreement dated {{Original_Agreement_Date}} (hereinafter referred to as 'the Original Agreement') concerning a loan facility granted by the Lender to the Borrower.

WHEREAS, the Parties desire to amend certain terms and conditions of the Original Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

AMENDMENTS

The Original Agreement shall be and is hereby amended as follows:

1. Clause {{Clause_Number_1}} of the Original Agreement is hereby deleted in its entirety and replaced with the following:

"{{New_Clause_Text_1}}"

2. Clause {{Clause_Number_2}} of the Original Agreement is hereby amended by deleting the amount '{{Original_Amount_2}}' and replacing it with '{{New_Amount_2}}'.

3. A new Clause {{New_Clause_Number}} is hereby inserted immediately after Clause {{Preceding_Clause_Number}} of the Original Agreement, to read as follows:

"{{New_Inserted_Clause_Text}}"

(Add additional amendment clauses as required, specifying the exact changes being made to the Original Agreement. Be clear and precise in referencing the clauses being amended or added.)

EFFECT OF AMENDMENT

Save as expressly amended by this Agreement, all terms and conditions of the Original Agreement shall remain in full force and effect and are hereby ratified and confirmed by the Parties.

This Amending Agreement shall be read and construed as one with the Original Agreement, and any reference to the Original Agreement in any document whatsoever shall hereafter be deemed to be a reference to the Original Agreement as amended by this Agreement.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that this Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of [Country, e.g., South Africa].

The Parties irrevocably submit to the exclusive jurisdiction of the courts of [City, Country, e.g., Johannesburg, South Africa] for the purpose of hearing and determining any dispute arising out of or in connection with this Agreement.

COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute a duplicate original, but all the counterparts shall together constitute the one and the same agreement.

ENTIRE AGREEMENT

This Agreement, together with the Original Agreement (as amended hereby), constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating thereto.
