ASSIGNMENT OF SUBLEASE

PARTIES

This Assignment of Sublease (the "Assignment") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{Assignor_Company_Name}}**, a company duly incorporated under the laws of {{Jurisdiction}} (hereinafter referred to as "Assignor"), with its principal place of business at {{Assignor_Address}}.

AND

**{{Assignee_Company_Name}}**, a company duly incorporated under the laws of {{Jurisdiction}} (hereinafter referred to as "Assignee"), with its principal place of business at {{Assignee_Address}}.

AND

**{{Lessor_Company_Name}}**, a company duly incorporated under the laws of {{Jurisdiction}} (hereinafter referred to as "Lessor") with its principal place of business at {{Lessor_Address}}.

RECITALS

A. The Lessor and Assignor entered into a sublease agreement dated {{Original_Sublease_Date}} (the "Original Sublease") for the premises located at {{Premises_Address}} (the "Premises"). A copy of the Original Sublease is attached hereto as Annexure A.

B. The Assignor desires to assign all of its right, title, and interest as subtenant in the Original Sublease to the Assignee.

C. The Assignee desires to accept such assignment and assume all of the Assignor's obligations as subtenant under the Original Sublease.

D. The Lessor hereby consents to this Assignment.

ASSIGNMENT

1. Effective as of the {{Effective_Date_of_Assignment}} (the "Effective Date"), the Assignor hereby assigns, transfers, and sets over unto the Assignee all of its right, title, and interest in and to the Original Sublease.

2. The Assignee hereby accepts the assignment of the Original Sublease and assumes and agrees to perform all of the terms, covenants, and conditions contained in the Original Sublease to be performed by the subtenant, from and after the Effective Date.

3. The Assignor shall remain secondarily liable for the performance of the subtenant's obligations under the Original Sublease, in the event of any default by the Assignee, unless otherwise agreed to in writing by the Lessor.

REPRESENTATIONS AND WARRANTIES

1. The Assignor represents and warrants that it has the full right, power, and authority to assign the Original Sublease and that the Original Sublease is in full force and effect and has not been modified or amended except as disclosed to the Assignee.

2. The Assignee represents and warrants that it has reviewed the Original Sublease and understands and accepts all of its terms and conditions.

INDEMNIFICATION

The Assignee hereby agrees to indemnify and hold harmless the Assignor from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the Assignee's performance or non-performance of the obligations of the subtenant under the Original Sublease from and after the Effective Date.

GOVERNING LAW

This Assignment shall be governed by and construed in accordance with the laws of {{Governing_Law_Jurisdiction}}.

GENERAL PROVISIONS

1. This Assignment constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

2. This Assignment may not be amended or modified except by a written instrument executed by all parties hereto.

3. This Assignment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

4. If any provision of this Assignment is held to be invalid or unenforceable, such provision shall be severed from this Assignment, and the remaining provisions shall remain in full force and effect.
