ASSIGNMENT OF SUBLEASE

This Assignment of Sublease (hereinafter referred to as the "Assignment") is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:

**{{assignor_company_name}}** (hereinafter referred to as the "Assignor"), a company duly incorporated under the laws of {{assignor_jurisdiction}}, with its principal place of business at {{assignor_address}}.

AND

**{{assignee_company_name}}** (hereinafter referred to as the "Assignee"), a company duly incorporated under the laws of {{assignee_jurisdiction}}, with its principal place of business at {{assignee_address}}.

RECITAL

WHEREAS, the Assignor is the sublessee of certain premises located at {{property_address}} (hereinafter referred to as the "Demised Premises") pursuant to a Sublease Agreement dated {{sublease_date}} (hereinafter referred to as the "Sublease"), between the Assignor and {{sublessor_name}} (hereinafter referred to as the "Sublessor").

AND WHEREAS, the Assignor desires to assign all of its right, title, and interest in and to the Sublease to the Assignee, and the Assignee desires to accept such assignment.

AND WHEREAS, the Sublessor has granted written consent to this Assignment, as evidenced by the attached Consent of Sublessor (Exhibit A).

ASSIGNMENT

For valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and sets over unto the Assignee all of the Assignor's right, title, and interest in and to the Sublease, including all remaining term, options to renew, and all other rights, privileges, and appurtenances belonging thereto.

ASSUMPTION BY ASSIGNEE

The Assignee hereby accepts the foregoing assignment and assumes and agrees to perform all of the terms, covenants, and conditions of the Sublease on the part of the sublessee to be performed, from and after the effective date of this Assignment. The Assignee further agrees to indemnify and hold harmless the Assignor from and against any and all claims, liabilities, losses, damages, or expenses arising from the Assignee's breach of the Sublease or this Assignment.

INDEMNIFICATION BY ASSIGNOR (Optional)

Notwithstanding the assignment herein, the Assignor shall remain secondarily liable for the performance of all terms, covenants, and conditions of the Sublease. The Assignor agrees to indemnify and hold harmless the Assignee from and against any and all claims, liabilities, losses, damages, or expenses arising from the Assignor's breach of the Sublease prior to the effective date of this Assignment.

CONSENT OF SUBLESSOR

The Sublessor, by its signature below, hereby consents to this Assignment of Sublease and acknowledges that the Assignee shall be bound by all the terms and conditions of the Sublease.

This consent does not release the Assignor from any of its obligations under the Sublease unless expressly agreed in writing by the Sublessor.

GOVERNING LAW

This Assignment shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

ENTIRE AGREEMENT

This Assignment constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No modification, amendment, or waiver of any provision of this Assignment shall be effective unless in writing and signed by all parties hereto.
