Chief Agent Agreement - Short Form

This Chief Agent Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

Collectively referred to as "the Parties".

1. Appointment

1.1 The Company hereby appoints the Chief Agent, and the Chief Agent hereby accepts the appointment, as a non-exclusive Chief Agent to promote and market the {{products_services_description}} of the Company within the designated territory of {{territory}} (hereinafter referred to as "the Territory").

1.2 The Chief Agent shall not have the authority to bind the Company to any contract or obligation without the express written consent of the Company.

2. Duties and Responsibilities of the Chief Agent

2.1 The Chief Agent shall use best endeavors to promote the Company's products/services, identify potential clients, and facilitate sales within the Territory.

2.2 The Chief Agent shall maintain a professional standard of conduct and represent the Company's brand and values appropriately.

2.3 The Chief Agent shall submit regular reports on sales activities, client feedback, and market intelligence to the Company as per the reporting schedule outlined in {{reporting_schedule_details}}.

3. Commission and Payment

3.1 The Company shall pay the Chief Agent a commission of {{commission_percentage}}% on the net revenue generated from sales directly attributable to the Chief Agent's efforts.

3.2 Commissions shall be calculated and paid on a {{payment_frequency}} basis, approximately {{days_after_period}} days after the end of each {{payment_period}}.

3.3 The Company shall provide the Chief Agent with detailed commission statements, and any disputes regarding commission calculations must be raised within {{dispute_period}} days of receipt of the statement.

4. Term and Termination

4.2 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party.

5. Confidentiality

5.1 The Chief Agent acknowledges that during the course of this Agreement, they may have access to confidential information belonging to the Company. The Chief Agent agrees to keep all such information strictly confidential and not to disclose it to any third party without the Company's prior written consent.

5.2 This confidentiality obligation shall survive the termination of this Agreement.

6. Governing Law and Jurisdiction

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country}}.

6.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{applicable_country_jurisdiction_city}}.
