Commission Referral Agreement

This Commission Referral Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} ('Effective Date'), By and Between:

{{company_name}}, a company duly incorporated under the laws of [Relevant African Country/Jurisdiction], with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company');

AND

{{referrer_name}}, an individual residing at {{referrer_address}} or a company duly incorporated under the laws of [Relevant African Country/Jurisdiction], with its principal place of business at {{referrer_address}} (hereinafter referred to as 'the Referrer').

Collectively referred to as 'the Parties'.

1. Purpose of Agreement

The Company is engaged in the business of [briefly describe Company's business]. The Referrer desires to refer potential clients/customers to the Company in exchange for a commission, as set forth in this Agreement.

2. Referral Process

2.1. The Referrer shall identify and introduce potential clients/customers ('Referred Clients') to the Company.

2.2. All referrals must be submitted to the Company in writing via email to {{referral_email_address}} or through a designated referral portal, clearly identifying the Referred Client and the product/service of interest.

2.3. The Company reserves the right to accept or reject any referral in its sole discretion.

3. Commission Structure

3.1. The Company shall pay the Referrer a commission of {{commission_percentage}}% of the net revenue generated from the Referred Client's initial purchase of {{product_or_service}}.

3.2. 'Net Revenue' shall mean the total amount paid by the Referred Client to the Company, less any taxes, refunds, discounts, or chargebacks.

3.3. Commission will only be paid on completed and fully paid transactions. Repeat business from a Referred Client may be subject to a separate agreement or commission structure, if any, as agreed upon in writing by both Parties.

4. Payment Terms

The Referrer is an independent contractor and not an employee, partner, or agent of the Company. The Referrer shall not have the authority to bind the Company to any obligations.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country/Jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be resolved through [e.g., arbitration, mediation, or the courts of said jurisdiction].

9. Entire Agreement
