CONCESSION AGREEMENT
This Concession Agreement (the “Agreement”) is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:
{{grantor_name}}, a company duly incorporated under the laws of {{grantor_jurisdiction}}, with its principal place of business at {{grantor_address}} (hereinafter referred to as the “Grantor”); and
{{concessionaire_name}}, a company duly incorporated under the laws of {{concessionaire_jurisdiction}}, with its principal place of business at {{concessionaire_address}} (hereinafter referred to as the “Concessionaire”).
The Grantor and the Concessionaire are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
1. RECITALS
1.1 The Grantor is the owner/operator of {{facility_or_service_description}} (hereinafter referred to as the “Concession Area/Service”).
1.2 The Grantor desires to grant to the Concessionaire, and the Concessionaire desires to accept from the Grantor, the exclusive/non-exclusive right to develop, operate, maintain, and collect revenue from the Concession Area/Service, under the terms and conditions set forth herein.
2. GRANT OF CONCESSION
2.1 The Grantor hereby grants to the Concessionaire the right to {{scope_of_concession_activities}} within the Concession Area/Service for a period of {{concession_period_years}} years, commencing on {{commencement_date}} and ending on {{termination_date}} (the “Concession Period”).
2.2 The Concessionaire shall be responsible for {{concessionaire_responsibilities_description}}.
3. CONCESSION FEES AND PAYMENT TERMS
3.1 In consideration for the grant of the Concession, the Concessionaire shall pay to the Grantor a concession fee of {{fixed_fee_amount}} per {{payment_frequency}} OR a percentage of {{percentage_revenue}}% of the gross revenue generated from the Concession Area/Service (hereinafter referred to as the “Concession Fee”).
3.2 The Concession Fee shall be paid on or before the {{payment_day}} day of each {{payment_month}}.
3.3 All payments shall be made in {{currency}} to the Grantor's designated bank account: {{bank_name}}, Account Number: {{account_number}}, Swift Code: {{swift_code}}.
4. PERFORMANCE OBLIGATIONS
4.1 The Concessionaire shall operate and maintain the Concession Area/Service in accordance with industry best practices and all applicable laws and regulations of {{jurisdiction}}.
4.2 The Concessionaire shall achieve the following performance targets: {{performance_targets_description}}.
4.3 The Concessionaire shall submit regular reports on its performance and financial results to the Grantor as per the schedule outlined in Schedule A attached hereto.
5. WARRANTIES AND REPRESENTATIONS
5.1 Each Party warrants and represents that it has the full power and authority to enter into and perform its obligations under this Agreement.
5.2 The Concessionaire warrants and represents that it has the necessary expertise, resources, and licenses to undertake the Concession activities.
6. INDEMNIFICATION
6.1 The Concessionaire shall indemnify and hold harmless the Grantor from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Concessionaire's operation of the Concession Area/Service, except to the extent caused by the gross negligence or willful misconduct of the Grantor.
7. TERMINATION
7.1 This Agreement may be terminated by either Party upon {{notice_period_days}} days' written notice to the other Party in the event of a material breach of any term or condition of this Agreement by the other Party, which breach is not cured within the said notice period.
7.2 This Agreement may be terminated by mutual written consent of the Parties.
7.3 Upon termination, the Concessionaire shall cease all operations and hand over the Concession Area/Service to the Grantor in a good state of repair, fair wear and tear excepted.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
8.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties.
8.3 If the dispute cannot be resolved amicably within {{negotiation_period_days}} days, it shall be referred to arbitration in accordance with the rules of the {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}.
9. MISCELLANEOUS
9.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
9.2 No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
9.3 Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above.
