Parties
This Contract on Retaining Legal Counsel ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{client_company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as 'the Client'); and
{{law_firm_name}}, a legal practice duly registered under the laws of {{jurisdiction}}, with its principal place of business at {{law_firm_address}} (hereinafter referred to as 'the Firm').
Engagement of Legal Services
The Client hereby engages the Firm to provide legal services as described in Schedule A of this Agreement (hereinafter referred to as 'the Services'). The Firm accepts this engagement and agrees to provide the Services with due diligence and professional care.
The primary legal counsel assigned to this matter will be {{leading_attorney_name}}, with support from other members of the Firm as deemed necessary.
Scope of Services
The Firm shall provide legal advice, representation, and assistance to the Client in relation to {{specific_legal_matter_description}}.

Any services requested by the Client outside the scope defined herein shall be subject to a separate agreement or amendment to this Agreement.

Confidentiality
Both parties agree to maintain the strict confidentiality of all information exchanged during the course of this engagement, including but not limited to business strategies, financial data, and legal strategies, except as required by law or with the express written consent of the other party.
Termination
Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party.
Upon termination, the Client shall pay all outstanding fees and disbursements for services rendered up to the date of termination.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
Any dispute arising out of or in connection with this Agreement shall first be amicably resolved through negotiation between the parties. If an amicable resolution cannot be reached, the dispute shall be referred to mediation in accordance with the rules of {{mediation_body}}.
Entire Agreement
This Agreement constitutes the entire understanding between the Client and the Firm with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
