CONTRACT PURCHASE AGREEMENT

This Contract Purchase Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

1. SCOPE OF AGREEMENT

The Seller agrees to sell and the Buyer agrees to purchase the goods/services as described in Schedule A (hereinafter referred to as "Goods/Services") attached hereto and incorporated by reference.

The Goods/Services shall meet the specifications and quality standards as set out in Schedule A.

2. PURCHASE PRICE

The total purchase price for the Goods/Services shall be {{currency}} {{total_purchase_price}} ({{total_purchase_price_words}}).

3. DELIVERY AND ACCEPTANCE

The Seller shall deliver the Goods/Services to the Buyer at {{delivery_address}} on or before {{delivery_date}}.

Upon delivery, the Buyer shall have {{inspection_period}} days to inspect the Goods/Services and notify the Seller of any non-conformity or defects. Failure to notify within this period shall constitute acceptance.

4. WARRANTIES

The Seller warrants that the Goods/Services shall be free from defects in material and workmanship for a period of {{warranty_period}} from the date of delivery.

The Seller further warrants that the Goods/Services shall conform to their specifications and be fit for the purpose for which they are intended.

5. TERMINATION

This Agreement may be terminated by either party upon {{notice_period}} days' written notice to the other party in the event of a material breach of this Agreement by the other party, provided such breach is not cured within the notice period.

Either party may terminate this Agreement immediately if the other party becomes insolvent or files for bankruptcy.

6. GOVERNING LAW

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
