DOMAIN NAME ASSIGNMENT AGREEMENT

This Domain Name Assignment Agreement ("Agreement") is made and entered into as of this {{day}} day of {{month}}, {{year}} ("Effective Date"), by and between:

1. **{{Assignor_Company_Name}}**, a company duly incorporated under the laws of {{Assignor_Jurisdiction}}, with its principal place of business at {{Assignor_Address}} (hereinafter referred to as "Assignor"); and

2. **{{Assignee_Company_Name}}**, a company duly incorporated under the laws of {{Assignee_Jurisdiction}}, with its principal place of business at {{Assignee_Address}} (hereinafter referred to as "Assignee").

Assignor and Assignee are collectively referred to herein as the "Parties" and individually as a "Party."

RECITALS

WHEREAS, Assignor is the current registered owner of the domain name {{domain_name}} (the "Domain Name");

WHEREAS, Assignor desires to assign, transfer, and convey all of its right, title, and interest in and to the Domain Name to Assignee; and

WHEREAS, Assignee desires to acquire all of Assignor's right, title, and interest in and to the Domain Name.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

ASSIGNMENT OF DOMAIN NAME

Assignor hereby irrevocably assigns, transfers, and conveys to Assignee all of its right, title, and interest in and to the Domain Name, including without limitation all registrations, renewals, and goodwill associated therewith, effective as of the Effective Date. Assignee hereby accepts such assignment.

CONSIDERATION

In consideration for the assignment of the Domain Name, Assignee shall pay Assignor the sum of {{assignment_fee_amount}} ({{assignment_fee_currency}}) on or before {{payment_due_date}}. Payment shall be made by {{payment_method}} to {{assignor_bank_details}}.

REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee that:

(a) Assignor is the sole and exclusive registered owner of the Domain Name and has the full power and authority to enter into this Agreement and to assign the Domain Name to Assignee;

(b) The Domain Name is free and clear of all liens, encumbrances, security interests, and adverse claims of any kind;

(c) Assignor has not previously assigned, transferred, or otherwise conveyed its rights in the Domain Name to any third party;

(d) The assignment of the Domain Name to Assignee will not violate any agreements or obligations to which Assignor is a party or by which Assignor is bound;

COVENANTS OF ASSIGNOR

Assignor covenants and agrees to take all necessary steps, including executing all required documents and cooperating with the domain registrar, to effectuate the transfer of the Domain Name registration to Assignee within {{number_of_days}} days of the Effective Date. Assignor shall provide Assignee with all necessary information and assistance to facilitate this transfer.

INDEMNIFICATION

Assignor shall indemnify, defend, and hold harmless Assignee from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of Assignor's representations, warranties, or covenants contained in this Agreement.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{Governing_Jurisdiction}}. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the Parties.

Should amiable efforts fail, the Parties agree to submit to the exclusive jurisdiction of the courts of {{Arbitration_Jurisdiction}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
