Exclusive Commission Agreement

This Exclusive Commission Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"), by and between:

{{principal_company_name}}, a company duly incorporated under the laws of {{principal_jurisdiction}}, with its principal place of business at {{principal_address}} (hereinafter referred to as the "Principal");

AND

{{agent_company_name}} (or {{agent_individual_name}}), a company duly incorporated under the laws of {{agent_jurisdiction}} (or an individual residing at {{agent_address}}), with its principal place of business at {{agent_address}} (hereinafter referred to as the "Agent").

Collectively referred to as the "Parties" and individually as a "Party".

1. Appointment and Exclusivity

1.1. The Principal hereby appoints the Agent as its exclusive commission agent for the sale of {{products_or_services}} (the "Products/Services") within the territory of {{territory_description}} (the "Territory").

1.2. During the term of this Agreement, the Principal shall not appoint any other agent, representative, or employee to sell the Products/Services within the Territory, nor shall the Principal directly engage in sales activities for the Products/Services within the Territory, unless otherwise agreed in writing by both Parties.

2. Agent's Responsibilities

2.1. The Agent shall use its best endeavours to promote and sell the Products/Services within the Territory.

2.2. The Agent shall maintain a high level of professionalism and ethical conduct in all dealings related to the Principal's business.

2.3. The Agent shall provide regular reports to the Principal on sales activities, market conditions, and customer feedback, as reasonably requested by the Principal, but no less frequently than {{reporting_frequency}}.

3. Commission

3.1. The Principal shall pay the Agent a commission rate of {{commission_rate}}% based on the net sales price of all Products/Services successfully sold by the Agent within the Territory and confirmed by the Principal.

3.2. Commission shall be calculated on {{commission_calculation_basis}} (e.g., invoiced amount, collected amount) and shall be payable within {{payment_days}} days of {{payment_event}} (e.g., receipt of payment from customer, end of calendar month).

3.3. No commission shall be payable on returns, refunds, chargebacks, or uncollectible accounts.

3.4. The Agent shall be solely responsible for any taxes, duties, or other levies arising from the commission payments.

4. Term and Termination

4.1. This Agreement shall commence on the Effective Date and shall continue for an initial period of {{initial_term_months}} months/years, unless terminated earlier in accordance with the provisions herein.

4.2. This Agreement may be renewed upon mutual written agreement of both Parties.

4.3. Either Party may terminate this Agreement by giving {{notice_period_days}} days' prior written notice to the other Party.

4.4. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

5. Confidentiality

5.1. Both Parties agree to keep confidential all proprietary and confidential information disclosed by the other Party during the term of this Agreement and for a period of {{confidentiality_period_years}} years thereafter.

5.2. Confidential information includes, but is not limited to, business plans, customer lists, pricing strategies, and product specifications.

6. Governing Law and Dispute Resolution

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

6.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

7. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof.

Any amendments to this Agreement must be in writing and signed by both Parties.
