EXCLUSIVE DISTRIBUTION AGREEMENT

This Exclusive Distribution Agreement ("Agreement") is made and entered into on this {{date_of_agreement}}

BETWEEN:

{{supplier_company_name}}, a company duly incorporated under the laws of {{supplier_country}}, with its principal place of business at {{supplier_address}} (hereinafter referred to as "Supplier");

AND

{{distributor_company_name}}, a company duly incorporated under the laws of {{distributor_country}}, with its principal place of business at {{distributor_address}} (hereinafter referred to as "Distributor").

1. APPOINTMENT AND TERRITORY

1.1. The Supplier hereby appoints the Distributor as its exclusive distributor, and the Distributor hereby accepts such appointment, for the sale and distribution of the Products (as defined in Schedule A) within the territory of {{territory}} (hereinafter referred to as the "Territory").

1.2. The Distributor agrees not to sell or distribute any products competitive with the Products within the Territory during the term of this Agreement.

2. PRODUCTS

2.1. The Products covered by this Agreement are those listed in Schedule A, which may be amended from time to time by mutual written agreement of both parties.

3. TERMS OF SALE

3.1. The Supplier shall sell the Products to the Distributor at the prices specified in Schedule B, subject to any discounts or rebates as may be agreed upon from time to time.

3.2. Payment terms shall be {{payment_terms}} from the date of invoice. Overdue payments shall incur interest at the rate of {{interest_rate}}% per annum.

4. MARKETING AND SALES

4.1. The Distributor shall use its best efforts to promote, market, and sell the Products within the Territory.

4.2. The Distributor shall submit quarterly sales reports to the Supplier detailing sales activities, market conditions, and forecasts for the upcoming quarter.

5. TERM AND TERMINATION

5.1. This Agreement shall commence on {{start_date}} and shall continue for an initial term of {{initial_term}} years, unless terminated earlier in accordance with the provisions herein.

5.2. Either party may terminate this Agreement by giving {{notice_period}} days' written notice to the other party in the event of a material breach of this Agreement that is not remedied within {{cure_period}} days of receiving notice of such breach.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

6.2. Any dispute arising out of or in connection with this Agreement shall be submitted to arbitration in accordance with the rules of the {{arbitration_body}}.
