EXCLUSIVE RIGHT TO SELL AGREEMENT

This Exclusive Right to Sell Agreement ("Agreement") is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:

Seller: {{seller_name}}, residing at {{seller_address}} (hereinafter referred to as "Seller")

AND

Broker: {{broker_company_name}}, a real estate brokerage firm licensed in {{jurisdiction}}, with its principal place of business at {{broker_address}}, acting through its authorized agent, {{agent_name}} (hereinafter referred to as "Broker").

1. GRANT OF EXCLUSIVE RIGHT TO SELL

The Seller hereby grants to the Broker the sole and exclusive right to sell the property located at {{property_address}}, legally described as {{legal_description}} (hereinafter referred to as "the Property"), for a period commencing on {{start_date}} and terminating on {{end_date}} (hereinafter referred to as "the Listing Period").

2. SELLING PRICE AND TERMS

The Seller hereby authorizes the Broker to offer the Property for sale at a price of {{currency}}{{selling_price}} or such other price as the Seller may agree to in writing. The Seller further agrees to consider and negotiate any reasonable offers presented by the Broker.

3. BROKER'S DUTIES AND OBLIGATIONS

The Broker agrees to diligently and professionally market the Property, including but not limited to, advertising, listing on multiple listing services, conducting open houses, and showing the Property to prospective buyers. The Broker shall keep the Seller informed of all activities and offers related to the sale of the Property.

4. SELLER'S DUTIES AND OBLIGATIONS

The Seller agrees to cooperate fully with the Broker in all matters relating to the sale of the Property, including providing access for showings, furnishing all necessary information and documents, and referring all inquiries from prospective buyers to the Broker. The Seller warrants that they are the legal owner of the Property and have the authority to sell it.

5. COMMISSION

In consideration of the services rendered by the Broker, the Seller agrees to pay the Broker a commission of {{commission_percentage}}% of the actual selling price of the Property, or a fixed fee of {{currency}}{{fixed_commission_amount}}, whichever is applicable. This commission shall be due and payable upon the successful closing of the sale of the Property, regardless of whether the buyer was procured by the Broker, the Seller, or any other party during the Listing Period, or within {{protection_period}} days thereafter if negotiations commenced during the Listing Period.

6. COOPERATION WITH OTHER BROKERS

The Seller authorizes the Broker to cooperate with other licensed real estate brokers and to share the commission with them as per industry standards and agreements.

7. INDEMNIFICATION

The Seller agrees to indemnify and hold harmless the Broker from any claims, damages, or expenses arising from any misrepresentation or breach of warranty by the Seller concerning the Property.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
