EXCLUSIVE SALES AGREEMENT

This Exclusive Sales Agreement ("Agreement") is made and entered into this {{day}} day of {{month}}, {{year}} ("Effective Date")

BETWEEN:

{{company_name}}, a company duly incorporated in accordance with the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as the "Principal");

AND

{{reseller_company_name}}, a company duly incorporated in accordance with the laws of {{reseller_country}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as the "Reseller").

The Principal and the Reseller are hereinafter collectively referred to as the "Parties" and individually as a "Party".

RECITALS

WHEREAS, the Principal is engaged in the business of manufacturing/distributing {{product_service_description}};

WHEREAS, the Reseller is engaged in the business of sales and marketing and has the necessary expertise and resources to promote and sell the Principal's products/services;

WHEREAS, the Principal desires to appoint the Reseller as its exclusive sales agent for the products/services in the territory as defined herein, and the Reseller desires to accept such appointment.

1. APPOINTMENT AND SCOPE OF EXCLUSIVITY

1.1. The Principal hereby appoints the Reseller as its exclusive sales agent for the sale of {{product_service_name}} (hereinafter referred to as the "Products/Services") within the territory of {{territory}} (hereinafter referred to as the "Territory").

1.2. During the term of this Agreement, the Principal shall not directly or indirectly sell, market, or promote the Products/Services within the Territory, nor shall it appoint any other person, firm, or company to do so.

2. TERM AND TERMINATION

2.1. This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_years}} ({{initial_term_years_words}}) years, unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Either Party may terminate this Agreement by giving {{notice_period}} ({{notice_period_words}}) days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, which breach is not remedied within {{cure_period}} ({{cure_period_words}}) days of receipt of written notice requiring its remedy.

2.3. Either Party may terminate this Agreement immediately if the other Party becomes insolvent, enters into liquidation, or has a receiver or administrator appointed over its assets.

3. RESELLER'S OBLIGATIONS

3.1. The Reseller shall use its best endeavours to promote and sell the Products/Services within the Territory and shall meet the sales targets as set out in Schedule A attached hereto.

3.2. The Reseller shall maintain adequate sales and marketing personnel and facilities to effectively perform its obligations hereunder.

3.3. The Reseller shall not make any representations, warranties, or guarantees concerning the Products/Services that are inconsistent with or in addition to those made by the Principal.

3.4. The Reseller shall provide the Principal with regular sales reports at intervals of {{reporting_frequency}}.

4. PRINCIPAL'S OBLIGATIONS

4.1. The Principal shall provide the Reseller with all necessary technical information, product literature, and sales support materials relating to the Products/Services.

4.2. The Principal shall supply the Products/Services to the Reseller at the prices and on the terms set out in Schedule B attached hereto.

4.3. The Principal shall provide training to the Reseller's personnel as reasonably requested by the Reseller.

5. REMUNERATION

5.1. In consideration for the Reseller's services, the Principal shall pay the Reseller a commission of {{commission_percentage}}% ({{commission_percentage_words}} percent) of the net sales price of all Products/Services sold by the Reseller within the Territory.

5.2. Commissions shall be calculated and paid {{payment_frequency}} within {{payment_days}} ({{payment_days_words}}) days of the end of each {{payment_period}}.

6. CONFIDENTIALITY

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, in accordance with the rules of the {{arbitration_institution}}.
