SALES AGENCY AGREEMENT

This Sales Agency Agreement ("Agreement") is made and entered into effective as of {{effective_date}} ("Effective Date"), by and between:

{{principal_company_name}}, a company duly incorporated under the laws of {{principal_country}}, with its principal place of business at {{principal_address}} (hereinafter referred to as "the Principal"); and

{{agent_company_name}}, a company duly incorporated under the laws of {{agent_country}}, with its principal place of business at {{agent_address}} (hereinafter referred to as "the Agent").

Collectively referred to as "the Parties".

1. APPOINTMENT OF AGENT

1.1 The Principal hereby appoints the Agent as its non-exclusive/exclusive sales agent for the sale of its products/services, as detailed in Schedule A ("Products/Services"), within the territory of {{territory}} ("Territory").

1.2 The Agent accepts such appointment and agrees to use its best efforts to promote the sale of the Products/Services within the Territory, in accordance with the terms and conditions of this Agreement.

2. DUTIES AND RESPONSIBILITIES OF THE AGENT

2.1 The Agent shall diligently and faithfully perform its duties, including but not limited to:

a) Identifying potential customers and developing sales opportunities for the Products/Services.

b) Marketing, promoting, and demonstrating the Products/Services to prospective customers.

c) Transmitting all orders received from customers to the Principal for acceptance.

d) Providing regular sales reports to the Principal as reasonably requested.

e) Maintaining a high standard of professional conduct and representing the Principal's brand positively.

2.2 The Agent shall not enter into any contracts on behalf of the Principal or make any representations or warranties concerning the Products/Services beyond those authorised by the Principal.

3. COMMISSION AND PAYMENT

3.1 For all sales of Products/Services successfully concluded and paid for by customers introduced by the Agent, the Principal shall pay the Agent a commission of {{commission_percentage}}% of the net sales price (excluding taxes, shipping, and discounts) ("Commission").

3.2 Commission shall become due and payable within {{payment_days}} days of the Principal's receipt of full payment from the customer for the relevant sale.

3.3 The Principal shall provide the Agent with a detailed commission statement {{statement_frequency}}.

3.4 The Agent shall be responsible for all its own taxes, levies, and social contributions arising from the Commission received.

4. TERM AND TERMINATION

4.1 This Agreement shall commence on the Effective Date and continue for an initial term of {{initial_term_months}} months/years, unless terminated earlier in accordance with this Agreement.

4.2 Either Party may terminate this Agreement by giving {{notice_period_days}} days' written notice to the other Party.

4.3 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice thereof.

5. CONFIDENTIALITY

5.1 Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement, including but not limited to business strategies, customer lists, pricing, and product specifications.

5.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

6. INDEMNIFICATION

6.1 The Agent shall indemnify and hold harmless the Principal from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or in connection with any act or omission of the Agent in breach of this Agreement or any negligence or wilful misconduct by the Agent.

6.2 The Principal shall indemnify and hold harmless the Agent from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or in connection with any defects in the Products/Services or any breach of warranty by the Principal.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably, it shall be referred to mediation/arbitration in {{arbitration_city}}, in accordance with the rules of {{arbitration_institution}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.

9. SIGNATURES

IN WITNESS WHEREOF, the Parties have executed this Sales Agency Agreement as of the Effective Date first written above.
