Airbnb Arbitrage Agreement
This Airbnb Arbitrage Agreement (the "Agreement") is made and entered into as of {{effective_date}} (the "Effective Date"), by and between {{property_owner_name}} of {{property_owner_address}} (the "Property Owner"), and {{arbitrage_operator_name}} of {{arbitrage_operator_address}} (the "Arbitrage Operator").
The Property Owner is the legal owner of the property located at {{property_address}} (the "Property").
The Arbitrage Operator is an individual or entity experienced in managing short-term rental properties, including but not limited to, listing properties on platforms such as Airbnb, managing bookings, and coordinating guest services. The Property Owner desires to engage the Arbitrage Operator to manage the Property for short-term rentals, and the Arbitrage Operator agrees to provide such services under the terms and conditions set forth herein.
Term of Agreement
This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_months}} months, unless terminated earlier in accordance with the provisions of this Agreement. Thereafter, this Agreement shall automatically renew for successive periods of {{renewal_term_months}} months unless either party provides written notice of non-renewal at least {{notice_period_days}} days prior to the end of the then-current term.
Responsibilities of Arbitrage Operator
The Arbitrage Operator shall be responsible for all aspects of managing the Property as a short-term rental, including but not limited to:
a. Listing and marketing the Property on Airbnb and other suitable short-term rental platforms.
b. Setting competitive rental rates and adjusting them as necessary to maximize occupancy and revenue.
c. Managing all guest communications, inquiries, bookings, and check-ins/check-outs.
d. Arranging for professional cleaning, maintenance, and repairs of the Property as needed.
e. Providing or arranging for essential guest amenities (e.g., linens, towels, basic toiletries).
f. Ensuring compliance with all local regulations, permits, and licensing requirements for short-term rentals.
g. Handling guest reviews and resolving any guest-related issues or complaints.
Responsibilities of Property Owner
The Property Owner shall be responsible for:
a. Ensuring the Property is in a habitable and safe condition prior to the commencement of this Agreement.
b. Providing the Arbitrage Operator with all necessary access to the Property (e.g., keys, codes).
c. Maintaining appropriate property insurance coverage, including landlord and short-term rental insurance.
d. Paying for property-related expenses such as mortgage, property taxes, utilities (unless otherwise agreed), and major structural repairs.
e. Notifying the Arbitrage Operator of any planned maintenance or repairs that may affect guest bookings.
f. Granting the Arbitrage Operator full authority to act on their behalf in matters related to short-term rental management.
Financial Arrangement and Profit Sharing
The parties agree to the following financial arrangement:
a. The Arbitrage Operator shall collect all rental income generated from the Property.
b. From the gross rental income, the Arbitrage Operator shall first deduct all directly related operational expenses, including but not limited to, cleaning fees, platform commissions, guest amenities, minor maintenance, and marketing costs.
c. The remaining net income shall be split between the Property Owner and the Arbitrage Operator as follows: {{property_owner_share_percentage}}% to the Property Owner and {{arbitrage_operator_share_percentage}}% to the Arbitrage Operator.
d. Payments to the Property Owner shall be made on a {{payment_frequency}} basis, no later than the {{payment_day}} day of the following month, accompanied by a detailed statement of income and expenses.
e. The Arbitrage Operator shall maintain accurate and detailed financial records for all income and expenses related to the Property.
Maintenance and Repairs
a. The Arbitrage Operator shall be responsible for coordinating and overseeing all minor maintenance and repairs necessary to keep the Property in good condition for guests. The cost of such minor repairs, up to a limit of {{minor_repair_limit_currency}} {{minor_repair_limit_amount}} per incident, shall be borne by the Arbitrage Operator and deducted from gross rental income.
b. For any repairs exceeding {{minor_repair_limit_currency}} {{minor_repair_limit_amount}}, the Arbitrage Operator shall obtain prior written approval from the Property Owner, unless in an emergency situation requiring immediate action to prevent further damage or ensure guest safety.
c. Major structural repairs, appliance replacements, and other significant capital expenditures shall be the responsibility of the Property Owner.
Insurance and Indemnification
a. The Property Owner shall maintain comprehensive property insurance, including public liability insurance, with coverage adequate for short-term rental activities. The Arbitrage Operator shall be named as an additional insured party on the Property Owner’s insurance policy.
b. The Arbitrage Operator shall maintain appropriate business liability insurance, covering their operations.
c. Each party agrees to indemnify and hold harmless the other party from and against any and all claims, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with their respective acts or omissions in the performance of this Agreement, except to the extent caused by the gross negligence or willful misconduct of the other party.
Termination
This Agreement may be terminated under the following conditions:
a. By mutual written agreement of both parties.
b. By either party with {{notice_period_days_termination}} days written notice to the other party, for any reason (without cause).
c. Immediately by either party upon a material breach of this Agreement by the other party, provided that the breaching party has failed to cure such breach within {{cure_period_days}} days after receiving written notice of the breach.
d. In the event of termination, the Arbitrage Operator shall promptly provide the Property Owner with all keys, access codes, financial records, and any other property or information belonging to the Property Owner. Outstanding financial obligations shall be settled within {{settlement_days}} days of termination.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_body}}.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.
