DEED OF DISCHARGE

This DEED OF DISCHARGE is made and entered into on this {{day}} day of {{month}}, {{year}}.

PARTIES

BETWEEN:

{{Lender_company_name}}, a company duly incorporated under the laws of [African Country] with registration number {{lender_registration_number}} and having its registered office at {{lender_address}} (hereinafter referred to as "the Lender").

AND

{{Borrower_company_name}}, a company duly incorporated under the laws of [African Country] with registration number {{borrower_registration_number}} and having its registered office at {{borrower_address}} (hereinafter referred to as "the Borrower").

RECITALS

WHEREAS, the Lender granted a loan facility to the Borrower pursuant to a Loan Agreement dated {{original_loan_agreement_date}} (hereinafter referred to as "the Loan Agreement").

AND WHEREAS, the Borrower has fully repaid all outstanding principal, interest, and any other charges due under the Loan Agreement.

AND WHEREAS, the Lender acknowledges receipt of the full and final settlement of the loan and wishes to discharge the Borrower from all obligations thereunder.

DISCHARGE AND RELEASE

1. The Lender hereby acknowledges that the Borrower has fully and finally discharged all its obligations, including but not limited to the repayment of the principal amount of {{currency}} {{loan_amount}}, together with all accrued interest and other charges, under the Loan Agreement dated {{original_loan_agreement_date}}.

2. In consideration of the full and final settlement, the Lender hereby irrevocably and unconditionally releases and discharges the Borrower from all covenants, obligations, liabilities, claims, and demands whatsoever arising out of or in connection with the Loan Agreement.

3. The Lender confirms that all security interests, charges, mortgages, or guarantees granted by the Borrower or third parties in favour of the Lender in connection with the Loan Agreement are hereby released and discharged, and the Lender undertakes to execute all necessary documents to perfect such release and discharge.

REPRESENTATIONS AND WARRANTIES

The Lender represents and warrants that it has the full power and authority to execute and deliver this Deed of Discharge and that this Deed constitutes a legal, valid, and binding obligation of the Lender, enforceable against it in accordance with its terms.

GOVERNING LAW AND JURISDICTION

This Deed of Discharge shall be governed by and construed in accordance with the laws of [African Country]. Any dispute arising out of or in connection with this Deed shall be subject to the exclusive jurisdiction of the courts of [African Country].

INDEMNITY

The Lender undertakes to indemnify and hold harmless the Borrower from and against any claims, losses, damages, liabilities, costs, and expenses arising from any breach of the representations, warranties, or undertakings made by the Lender in this Deed or from any claim by a third party alleging an ongoing obligation of the Borrower under the Loan Agreement after the date of this Deed.

ENTIRE AGREEMENT

This Deed constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto.

COUNTERPARTS

This Deed may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
