Parties
This Business Contract ("Contract") is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
{{party_A_name}}, a company duly incorporated under the laws of {{jurisdiction_A}}, with its principal place of business at {{party_A_address}} (hereinafter referred to as "Party A"); and
{{party_B_name}}, a company duly incorporated under the laws of {{jurisdiction_B}}, with its principal place of business at {{party_B_address}} (hereinafter referred to as "Party B").
(Each a "Party" and collectively, the "Parties")
Recitals
WHEREAS, Party A is engaged in the business of {{party_A_business_description}};
WHEREAS, Party B is engaged in the business of {{party_B_business_description}};
WHEREAS, the Parties desire to enter into an agreement for {{purpose_of_contract}} under the terms and conditions hereinafter set forth.
Scope of Work/Services
Party A shall provide {{description_of_services_A}} to Party B.
Party B shall provide {{description_of_services_B}} to Party A.
A detailed description of the services/work to be performed is attached hereto as Schedule A.
Payment Terms
In consideration for the services/work performed by Party A, Party B shall pay Party A the sum of {{currency}} {{amount}} ({{amount_in_words}}) on a {{payment_frequency}} basis.
Payment shall be made within {{payment_due_days}} days of receipt of an invoice from Party A.

Term and Termination
This Contract shall commence on {{start_date}} and shall continue in full force and effect until terminated by either Party in accordance with the provisions herein.
Either Party may terminate this Contract by providing {{notice_period}} days' written notice to the other Party.
This Contract may be terminated immediately by either Party in the event of a material breach of this Contract by the other Party, provided that the breaching Party fails to cure such breach within {{cure_period}} days of receiving written notice thereof.
Confidentiality
The Parties agree to keep confidential all information exchanged during the course of this Contract, including but not limited to business plans, client lists, financial data, and proprietary information. This obligation of confidentiality shall survive the termination of this Contract.
Governing Law and Dispute Resolution
This Contract shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
Any dispute arising out of or in connection with this Contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the Arbitration Foundation of Southern Africa (AFSA) rules.
Force Majeure
Neither Party shall be liable for any failure or delay in performing its obligations under this Contract where such failure or delay is caused by an event beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, earthquake, flood, or other natural disaster.
Entire Agreement
This Contract constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
