Consulting Agreement

This Consulting Agreement (the "Agreement") is made and entered into as of {{date_of_agreement}} (the "Effective Date"), by and between:

{{client_company_name}}, a company duly registered under the laws of {{client_company_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client");

AND

{{consultant_name}}, an individual residing at {{consultant_address}} / {{consultant_company_name}}, a company duly registered under the laws of {{consultant_company_jurisdiction}}, with its principal place of business at {{consultant_company_address}} (hereinafter referred to as "Consultant").

Collectively referred to as the "Parties" and individually as a "Party."

Recitals

WHEREAS, Client desires to retain the services of Consultant to provide certain consulting services, and Consultant is willing to provide such services on the terms and conditions hereinafter set forth.

Scope of Services

The Client hereby engages the Consultant, and the Consultant hereby agrees to perform the consulting services as described in Schedule A attached hereto and incorporated by reference (the "Services"). The Services shall commence on {{start_date}} and are expected to be completed by {{end_date}}, unless otherwise terminated in accordance with this Agreement.

The Consultant shall perform the Services in a professional manner, adhering to generally accepted industry standards and best practices.

Any changes to the Scope of Services must be agreed upon in writing by both Parties.

Compensation and Payment Terms

In consideration for the Services rendered by the Consultant, the Client shall pay the Consultant a fee of {{fee_amount}} {{currency}} per {{payment_basis_e.g._hour,_day,_project_deliverable}} (the "Fee").

Payment terms shall be as follows: {{payment_terms_e.g._50%_upfront,_50%_upon_completion,_net_30_days_from_invoice_date}}.

The Consultant shall submit invoices to the Client for Services performed. Invoices shall be payable within {{payment_due_days}} days of receipt.

Expenses reasonably and necessarily incurred by the Consultant in the performance of the Services, such as travel, accommodation, and materials, shall be reimbursed by the Client, provided such expenses are pre-approved in writing by the Client and supported by appropriate receipts. Reimbursement will be in accordance with the Client's expense policy, if any, a copy of which will be provided to the Consultant upon request.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the completion of the Services or until terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

Notwithstanding the above, either Party may terminate this Agreement immediately upon written notice if the other Party:

a) Breaches any material term of this Agreement and fails to remedy such breach within {{cure_period_days}} days after receiving written notice thereof;

b) Becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors.

Confidentiality

During the course of this Agreement, the Consultant may have access to confidential and proprietary information belonging to the Client, including but not limited to business plans, financial data, customer lists, and trade secrets (hereinafter "Confidential Information").

The Consultant agrees to keep all Confidential Information strictly confidential and not to disclose it to any third party or use it for any purpose other than in the performance of the Services under this Agreement, both during and after the term of this Agreement.

This obligation of confidentiality shall not apply to information that is publicly known, independently developed by the Consultant without reference to the Confidential Information, or required to be disclosed by law.

Intellectual Property

All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from or created by the Consultant in the course of performing the Services under this Agreement (the "Work Product"), shall be the sole and exclusive property of the Client.

The Consultant agrees to assign and hereby assigns all such intellectual property rights to the Client. The Consultant shall execute any further documents reasonably requested by the Client to perfect such assignment.

Independent Contractor Status

The Consultant is and shall at all times remain an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship between the Parties.

The Consultant shall be solely responsible for all taxes, national insurance contributions, and other statutory payments arising from the compensation paid under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country_in_Southern_Africa}}.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_institution_e.g._Arbitration_Foundation_of_Southern_Africa}}.

The seat of arbitration shall be {{arbitration_city}}.

The language of the arbitration shall be English.
