EQUIPMENT LEASE AGREEMENT

This Equipment Lease Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. LEASED EQUIPMENT

The Lessor hereby agrees to lease to the Lessee, and the Lessee hereby agrees to lease from the Lessor, the following equipment (hereinafter referred to as the 'Equipment'):

2. LEASE TERM

3. LEASE PAYMENTS

4. LATE PAYMENTS

5. MAINTENANCE AND REPAIRS

The Lessee shall be responsible for the maintenance and repair of the Equipment during the Lease Term, ensuring it remains in good working order and condition, reasonable wear and tear excepted. All maintenance and repair costs shall be borne by the Lessee, unless otherwise agreed upon in writing by both Parties.

6. INSURANCE

The Lessee shall, at its own expense, maintain comprehensive insurance coverage for the Equipment against all risks of loss or damage, including but not limited to fire, theft, and natural disasters, for the entire Lease Term. The Lessor shall be named as an additional insured on such policies. Proof of insurance shall be provided to the Lessor upon request.

7. USE OF EQUIPMENT

The Lessee shall use the Equipment in a careful and proper manner and shall comply with all applicable laws, regulations, and manufacturer's instructions. The Equipment shall not be used for any illegal purpose or in any manner that would invalidate the insurance coverage.

8. RETURN OF EQUIPMENT

Upon the expiration or earlier termination of this Agreement, the Lessee shall return the Equipment to the Lessor in the same condition as it was received, reasonable wear and tear excepted, at the Lessee's sole cost and risk, to the Lessor's designated location at {{return_location}}.

9. DEFAULT

The occurrence of any of the following shall constitute an event of default under this Agreement:

(a) Failure by the Lessee to make any lease payment within {{default_grace_period_days}} days of its due date.

(b) Breach by the Lessee of any other term or condition of this Agreement.

(c) Insolvency or bankruptcy of the Lessee.

Upon an event of default, the Lessor shall have the right to immediately terminate this Agreement, repossess the Equipment, and pursue any other remedies available at law or in equity.

10. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to resolve the dispute amicably, it shall be submitted to arbitration in accordance with the rules of {{arbitration_body}} at {{arbitration_location}}.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
