EQUIPMENT LEASE AGREEMENT
This Equipment Lease Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{company_name}}, a company duly incorporated and existing under the laws of {{country_of_incorporation}}, with its principal place of business located at {{company_address}} (hereinafter referred to as 'Lessor');
AND
{{lessee_company_name}}, a company duly incorporated and existing under the laws of {{lessee_country_of_incorporation}}, with its principal place of business located at {{lessee_company_address}} (hereinafter referred to as 'Lessee').
Collectively referred to as 'the Parties' and individually as 'Party'.
1. LEASED EQUIPMENT
The Lessor hereby agrees to lease to the Lessee, and the Lessee hereby agrees to lease from the Lessor, the following equipment (hereinafter referred to as 'the Equipment'):

2. LEASE TERM
The term of this Lease shall commence on {{start_date}} and shall continue for a period of {{lease_duration_years}} ({{lease_duration_years_words}}) years, expiring on {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.
3. LEASE PAYMENTS
3.1. The Lessee shall pay to the Lessor a monthly lease payment of {{currency}} {{monthly_lease_payment}} ({{monthly_lease_payment_words}}) on the {{day_of_month}} day of each calendar month, commencing on {{first_payment_date}}.
3.2. All payments shall be made in {{currency}} to the Lessor's designated bank account:

3.3. A late payment penalty of {{late_payment_percentage}}% per month shall be applied to any overdue payments.
4. DELIVERY AND ACCEPTANCE
The Lessor shall deliver the Equipment to the Lessee at {{delivery_address}} on or before {{delivery_date}}. The Lessee shall inspect the Equipment upon delivery and notify the Lessor in writing of any defects or discrepancies within {{inspection_period_days}} ({{inspection_period_days_words}}) days of delivery. Failure to provide such notice shall constitute acceptance of the Equipment in good working order.
5. USE OF EQUIPMENT
The Lessee shall use the Equipment solely for business purposes at {{primary_location_of_use}} and shall not remove the Equipment from this location without the prior written consent of the Lessor. The Lessee shall operate the Equipment in a careful and proper manner, in compliance with all applicable laws and manufacturer's instructions.
6. MAINTENANCE AND REPAIRS
The Lessee shall be responsible for all daily maintenance and minor repairs required to keep the Equipment in good working order. All major repairs and scheduled servicing shall be the responsibility of {{party_responsible_for_major_repairs}} (either Lessor or Lessee) as outlined in Schedule A attached hereto. The Lessee shall not make any alterations or additions to the Equipment without the prior written consent of the Lessor.
7. INSURANCE
The Lessee shall, at its own expense, obtain and maintain throughout the Lease Term comprehensive insurance coverage for the Equipment against all risks of loss or damage, including theft, fire, and natural disasters, for an amount not less than the full replacement value of the Equipment. The Lessor shall be named as an additional insured on such policy. Proof of insurance shall be provided to the Lessor upon request.
8. RETURN OF EQUIPMENT
Upon the expiration or earlier termination of this Agreement, the Lessee shall return the Equipment to the Lessor at {{return_address}} in good working order, ordinary wear and tear excepted. The Lessee shall bear all costs associated with the return of the Equipment, including dismantling, packaging, and transportation.
9. DEFAULT
Each of the following shall constitute an event of default by the Lessee:
a) Failure to pay any lease payment or other amount due under this Agreement within {{grace_period_days}} ({{grace_period_days_words}}) days of its due date.
b) Breach of any other term or condition of this Agreement not remedied within {{cure_period_days}} ({{cure_period_days_words}}) days after written notice from the Lessor.
10. CONSEQUENTIAL PROVISIONS
10.1. GOVERNING LAW AND JURISDICTION: This Agreement shall be governed by and construed in accordance with the laws of {{country}}. The Parties hereby submit to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
10.2. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
10.3. AMENDMENTS: No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
10.4. SEVERABILITY: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
